Profile

Mónica Martín de Vidales Godino co-manages the Corporate/Commercial Department of Garrigues, where she has spent her entire professional career after a period at Arthur Andersen and a period between 2001 and 2004 as general and board secretary of Telefónica Media, S.A. (and several companies from its group)—subsequently known as Corporación Admira and now Telefónica de Contenidos—formerly the parent company of the media group of Grupo Telefónica. She is currently the nondirector secretary and legal adviser to the board of directors of several Spanish companies.

Mónica specializes in corporate/commercial law, especially general commercial contracts and company and corporate law as they relate to private and listed companies alike. She has solid experience in M&A transactions for industrial clients, private equity clients and in tender offers and privatizations.

As part of her M&A experience, Mónica has participated in negotiating and formalizing agreements recording the sale and purchase, merger and integration of companies or entities of various types, shareholder agreements and protocols, and joint venture and investment agreements. She has also managed engagement teams conducting legal due diligence reviews of national and international entities, and has coordinated the provision of advice with agreements to finance acquisitions and regulatory merger control processes.

Mónica specializes in the analysis, design and planning of commercial and regulatory aspects of processes to reorganize commercial groups at national and international level, coordinating such processes with law firms from other jurisdictions in cases involving groups with an international presence, and with specialists from other practice areas such as tax, employment, administrative or, in certain cases, antitrust.

As a member of Garrigues’ Corporate Governance working group, Mónica has participated in various internal corporate governance projects.

Mónica Martín de Vidales has featured in the main directories such as Legal 500, IFLR1000, Iberian Lawyer, Best Lawyers in Spain and Chambers&Partners with respect to the M&A corporate/commercial practice area. She is a member of the team of commercial M&A experts which positions Garrigues as a relevant firm for transactions of this kind in Spain. She has been recognized in the ranking of the Top 50 women in the legal industry in Spain and Portugal in the Iberian Lawyer’s InspiraLAw initiative and has been classified among the 10 best lawyers for the Best Lawyer Award of the Expansión Jurídico Awards from 2018 to 2020.

She is Co-Director of the the Garrigues Chair in Corporate Law Modernization at ICADE.

She is an associate lecturer at Universidad Pontificia Comillas (ICADE E-1), where she teaches commercial law-related subjects. Mónica occasionally participates as a lecturer on commercial law topics in the Master’s Degree for Access to the Legal Profession at Universidad Carlos III de Madrid.

She is a member of the Madrid Bar Association.

She is a regular speaker at seminars and conferences organized by public entities, private companies, and associations representing several business sectors.
