Significant AccomplishmentsMr. Chinnavat Chinsangaram's principal areas of practice include litigation, banking and corporate activities, debt restructuring, mergers and acquisitions, joint ventures, foreign investments, aviation and maritime law. He represents Thai and international clients in the negotiation and preparation of contracts in diverse commercial contexts both domestically and internationally.
Mr. Chinsangaram was a partner of White & Case (Thailand) Limited, and prior to that was a partner of a respected local law firm offering international legal services.
He has represented both Thai and foreign investors in relation to share acquisitions and has represented various banks, financial institutions and borrowers in major financing and refinancing transactions. He has also represented various clients in relation to the negotiation and preparation of contracts in the construction, real estate development and telecommunications industries. He has significant experience in matters involving credit facilities in project financing transactions, Thai maritime and aviation law, in addition to advising corporations on service agreements.
Mr. Chinsangaram recently represented Westbrook Asia, LLC., in the acquisition of up to 40 percent of the shares in Amarin Plaza Public Co. Ltd.; Starwood in the acquisition of Sansiri Pcl.; and the creditors committee in the debt restructuring of Swedish Motors Corporation Pcl., the manufacturer and distributor of Volvo cars in Thailand.

Representation of Sinnsabpakin Co., Ltd., a subsidiary of Real Estate Capital Asia Partners, L.P., in the financing of THB 300 million credit facilities for its intended acquisition of Bangsak Fortune Co., Ltd., the operator of Royal Bangsak Beach Resort, Pang-nga.
Representation of Real Estate Capital Asia Partners, L.P. in the THB 360 million credit financing of a Samui hotel acquisition.
Representation of Real Estate Capital Asia Partners, L.P. in the financing of THB 1.243 billion credit facilities for their four low cost housing projects.
Representation of RECAP III Acquisitions Ltd. in the financing of THB 245 million credit facilities for their intended acquisition of Manathai Resort, Phuket.
Representation of TAEL One Partners on a phased transaction to, (i) provide financing on a secured funding basis for the purpose of acquiring shares in BTS Group Public Co. Ltd., one of Bangkok's 50 largest SET listed companies, and (through its subsidiary Bangkok Mass Transit System Plc), the sole concessionaire of the city's Sky Train core network, and (ii) structure a loan from UOB-Kay Hian Private Limited, a major Singapore brokerage, in connection with sub-participating, on a secured funding basis, a portion of TAEL's original financing in the BTS Group. The deal value was USD 125 million.

Representation of Lee Feed Mill Public Company Limited, a major animal feed/crop producer in Thailand which is also listed on the Stock Exchange of Thailand, on the repurchase of the company's shares from its shareholders. The (approx) US$16.7 million. (Closed March 22, 2012).
Representation of the lenders, namely, Credit Suisse (Singapore Branch), ING Bank N.V. (Singapore Branch), Bank of America Merrill Lynch, OPVS Group Pte. Representation of TMB Bank Public Company Limited in connection with a Baht 472 million credit facility granted to JTK (Thailand) Limited, a subsidiary of LaSalle Investment Management Pte Ltd., for a financing of the purchase of units in Sermmitr Tower, located in a prime area of Bangkok.
Representation of UOB Asia Limited, as Arranger, and United Overseas Bank Limited, as Lender, in connection with the US$ denominated Senior Secured Transferable Loan Facility in an amount equivalent to up to Baht 760 million to Carlton Hill Enterprises Limited to be utilized for acquisition of shares in Jasmine International Plc.

Representation of Akara Mining Limited, a gold-mining company, as the defending lawyer against a complaint to amend the Articles of Association of Akara with regard to the voting rights of preferred shareholders which was filed in the Southern Bangkok Civil Court by Sinphum Co., Ltd., a minority shareholder of Akara.
Representation of Sino-Thai Engineering & Construction Public Company Limited (STECON), as claimant, in an arbitration proceeding under the International Court of Arbitration (ICC) in a dispute with Dywidag Bau GmbH, as respondent, in connection with a lease agreement relating to the lease of construction equipment which is governed by Thai law.
Representation of Department of Highways, a State Entity of the Thai Government, in arbitration proceedings brought against them by a German Investor alleging breach of bilateral investment treaty between Thailand and Germany.

Our representation extended to cover the defending of the counter-claim made by the debtor against the creditors for breach of contracts with an amount of dispute of approximately Baht 26 billion.
