Mr. Chinnavat Chinsangaram is Executive Partner of Weerawong C&P with extensive experience in banking and corporate transactions, debt restructuring, joint ventures, mergers and acquisitions, foreign investments,aviation and litigation practices. Mr. Chinsangaram was a partner of White & Case (Thailand) Limited, and prior to that was a partner of a respected local law firm offering international legal services.

Significant Accomplishments

Mr. Chinnavat Chinsangaram's principal areas of practice include litigation, banking and corporate activities, debt restructuring, mergers and acquisitions, joint ventures, foreign investments, aviation and maritime law. He represents Thai and international clients in the negotiation and preparation of contracts in diverse commercial contexts both domestically and internationally.

Mr. Chinsangaram was a partner of White & Case (Thailand) Limited, and prior to that was a partner of a respected local law firm offering international legal services.

He has represented both Thai and foreign investors in relation to share acquisitions and has represented various banks, financial institutions and borrowers in major financing and refinancing transactions. He has also represented various clients in relation to the negotiation and preparation of contracts in the construction, real estate development and telecommunications industries. He has significant experience in matters involving credit facilities in project financing transactions, Thai maritime and aviation law, in addition to advising corporations on service agreements.

Mr. Chinsangaram recently represented Westbrook Asia, LLC., in the acquisition of up to 40 percent of the shares in Amarin Plaza Public Co. Ltd.; Starwood in the acquisition of Sansiri Pcl.; and the creditors committee in the debt restructuring of Swedish Motors Corporation Pcl., the manufacturer and distributor of Volvo cars in Thailand.

Recent transactional experience includes:

Representation of Sinnsabpakin Co., Ltd., a subsidiary of Real Estate Capital Asia Partners, L.P., in the financing of THB 300 million credit facilities for its intended acquisition of Bangsak Fortune Co., Ltd., the operator of Royal Bangsak Beach Resort, Pang-nga.

Representation of Real Estate Capital Asia Partners, L.P. in the THB 360 million credit financing of a Samui hotel acquisition.

Representation of Real Estate Capital Asia Partners, L.P. in the financing of THB 1.243 billion credit facilities for their four low cost housing projects.

Representation of RECAP III Acquisitions Ltd. in the financing of THB 245 million credit facilities for their intended acquisition of Manathai Resort, Phuket.

Representation of TAEL One Partners on a phased transaction to, (i) provide financing on a secured funding basis for the purpose of acquiring shares in BTS Group Public Co. Ltd., one of Bangkok's 50 largest SET listed companies, and (through its subsidiary Bangkok Mass Transit System Plc), the sole concessionaire of the city's Sky Train core network, and (ii) structure a loan from UOB-Kay Hian Private Limited, a major Singapore brokerage, in connection with sub-participating, on a secured funding basis, a portion of TAEL's original financing in the BTS Group. The deal value was USD 125 million.

Representation of the lenders, namely, Credit Suisse (Singapore Branch), ING Bank N.V. (Singapore Branch), Bank of America Merrill Lynch, OPVS Group Pte. Ltd., PMA Investment Advisors Ltd. and TAEL One Partners Ltd, in relation to a USD 100 million credit facility provided to the Canadoil Group (Finspace S.A.).

Representation of Lee Feed Mill Public Company Limited, a major animal feed/crop producer in Thailand which is also listed on the Stock Exchange of Thailand, on the repurchase of the company's shares from its shareholders. The (approx) US$16.7 million. (Closed March 22, 2012).

Representation of the lenders, namely, Credit Suisse (Singapore Branch), ING Bank N.V. (Singapore Branch), Bank of America Merrill Lynch, OPVS Group Pte. Ltd., PMA Investment Advisors Ltd. and TAEL One Partners Ltd, in relation to a US$100 million credit facility provided to the Canadoil Group (Finspace S.A.)

Representation of ING Bank N.V., as the arranger, and a foreign investor in relation to the financing of up to US$230 million to refinance Globalspace Energy Investments S.L.'s outstanding loan obligations.

Representation of KASIKORNBANK Public Company Limited and TISCO Bank Public Company Limited in relation to the Baht 1,880 million (Approximately US$58.75 million) facility granted to Lehman Brothers Holding Inc.

Representation of TCC Land Limited, in relation to the Yen equivalent of US$ 120 million Promisory Note Purchase Facility Agreement dated April 24, 2008, entered into with United Overseas Bank Limited (UOB).

Representation of KASIKORNBANK Public Company Limited, in relation to the Baht 786 million facility to Pace Project One Company Limited, Pace Project Two Company Limited and Pace Project Three Company Limited for procuring land leasehold right for the development of office, residential, hotel and retail project located on a main business area of Bangkok. The deal value is US$24.56 million.

Representation of PYI Consulting & Ventures and Credit Asia Capital Offshore Master Fund (CAC) in the due diligence investigation of a Thai listed company, Singha Paratech Public Company Limited in respect to its financing arrangement provided by CAC.

Representation of TMB Bank Public Company Limited in connection with a Baht 472 million credit facility granted to JTK (Thailand) Limited, a subsidiary of LaSalle Investment Management Pte Ltd., for a financing of the purchase of units in Sermmitr Tower, located in a prime area of Bangkok.

Representation of UOB Asia Limited, as Arranger, and United Overseas Bank Limited, as Lender, in connection with the US$ denominated Senior Secured Transferable Loan Facility in an amount equivalent to up to Baht 760 million to Carlton Hill Enterprises Limited to be utilized for acquisition of shares in Jasmine International Plc.

Representation of Phuket Square Co., Ltd. in a Baht 2,585 million syndicated loan facility provided by KASIKORNBANK Plc. and Bank of Ayudhya Plc. to refinance Phuket Square Co., Ltd.'s debt to Krung Thai Bank Plc. and to finance a Jungceylon Project.

Representation of Advanced Info Service Public Company Limited (AIS) in connection with the borrowing of an unsecured Japanese Yen equivalent of US$ 260million whereby Barclays Capital and CitiGroup Global Markets Asia Limited is the Mandated Lead Arrangers, Barclays Bank PLC, London, Citicorp Investment Bank Singapore Limited, Sumitomo Mitsui Banking Corporation, Hong Kong Branch, DBS Bank Limited and Export Development Canada are the Original Lenders and Citicorp International Ltd. is the Facility Agent.

Representation of UOB Asia Limited as Arranger and United Overseas Bank Limited as Lender in connection with the proposed arrangement and extension of the USD Bridging Facility in an amount equivalent to Baht 2.6 billion to Crossventure Holdings Limited and K2J Holding Co., Ltd. for acquisition of new shares of Tanayong Public Company Limited.

Representation of Thai Telephone & Telecommunication Public Company Limited (TT&T), the operator of 1.5 millions telephone network in the provincial area of Thailand, in the planning and negotiation for restructuring and refinancing of TT&T's debts with its Thai and foreign financial and trade creditors.

Representation of a syndication of Thai Banks namely, Bangkok Bank Public Company Limited, Krung Thai Bank Public Company Limited, Government Savings Bank, Siam City Bank Public Company Limited, The Siam Commercial Bank Public Company Limited and TMB Bank Public Company Limited, and a syndication of foreign commercial banks namely Barclays Capital and Citicorp International Limited, in the refinancing of US$ 800 Million of debt for Thai Petrochemical Industry Company Limited (TPI).

Representation of UOB Asia Limited in relation to the bridging loan facility of USD 120 million to be provided to a subsidiary of G Steel Public Company Limited to partly finance the acquisition of debt in a company in the steel industry.

Representation of KASIKORNBANK Public Company Limited, BankThai Public Company Limited and Bank of Ayudhya Public Company Limited in a Baht 1.08 billion (approx. US$28.42 million) loan facility to be granted to North Sathorn Realty to finance construction of the Infinity Tower Condominium project.

Representation of KASIKORNBANK Public Company Limited in connection with a financing and bond issuance to partly refinance Tycoons Worldwide Group (Thailand) Plc.'s existing secured debt and to raise new funds for expansion of the company. The total value of the deal is Baht 3.2 billion (approx. US$84.2 million).

Representation of UOB Asia Limited in connection with a US$50 million Facility Agreement for the refinancing of debt and for business operation of Lakewood Land Co., Ltd. and Mahagitsiri Group.

Representation of TCC Capital Land Limited in a Baht 1.56 billion credit facility provided to its affiliate, TCCCL Sena Co., Ltd., by Siam Commercial Bank Plc. to finance a construction of a housing estate project.

Representation of Siam City Bank Plc. in connection with the additional financing facilities to be provided to TRC Construction Plc. for the purpose of working capital of the company for a construction project.

Representation of Siam City Bank Plc. and Export-Import Bank of Thailand in connection with Baht 2.5 billion (approx. US$63 million) credit facilities agreement granted to Dharadhevi Hotel Co., Ltd. for the purpose of investment and working capital for the construction of a five-star luxury hotel and spa resort project located in Chiangmai.

Representation of Rojana Power Co. Ltd. in connection with insurance claims for loss and damage from the 2011 floods in Thailand.

Representation of Akara Mining Limited, a gold-mining company, as the defending lawyer against a complaint to amend the Articles of Association of Akara with regard to the voting rights of preferred shareholders which was filed in the Southern Bangkok Civil Court by Sinphum Co., Ltd., a minority shareholder of Akara.

Representation of Sino-Thai Engineering & Construction Public Company Limited (STECON), as claimant, in an arbitration proceeding under the International Court of Arbitration (ICC) in a dispute with Dywidag Bau GmbH, as respondent, in connection with a lease agreement relating to the lease of construction equipment which is governed by Thai law.

Representation of Department of Highways, a State Entity of the Thai Government, in arbitration proceedings brought against them by a German Investor alleging breach of bilateral investment treaty between Thailand and Germany.

Representation of a reputable Italian bank in its defence of a lawsuit filed by a local leading commercial bank in Thailand with the Intellectual Property and International Trade Court of Thailand.

Representation of The Plaintiffs (as creditors, which are a group of leading commercial banks in Thailand) in bringing a law suit against a Thai company which is the owner of the most advanced manufacturer of copper products (as debtor) to enforce payment of loan with an amount in dispute of approximately Baht 12,000 million. Our representation extended to cover the defending of the counter-claim made by the debtor against the creditors for breach of contracts with an amount of dispute of approximately Baht 26 billion.
