Primepulse acquires electronics manufacturer Katek with Heuking Kuhn Luer Wojtek

A team led by Boris Duerr, Partner at the law firm of Heuking Kuhn Luer Wojtek, advised Munich-based investment holding company Primepulse SE on the acquisition of 100% of the shares in Katek GmbH including its subsidiaries in Austria and Hungary. The seller is Kathrein SE. With the acquisition of Katek, Primepulse strengthens its Electronics division that also includes Memmingen-based Steca Electronik, which was acquired in 2016, and takes another step on the way to becoming a digitization group. Heuking&s team comprehensive legal advice to Primepulse on the transaction included due diligence, transaction structuring, contract negotiations, and antitrust notification.

Katek group is one of the largest electronics manufacturing services (EMS) in Germany. Its production sites are located in Grassau and Gyoer, Hungary. With over 800 employees, it generated sales of some EUR 150 million in fiscal 2017. The company covers the entire life cycle of electronic assemblies and devices: from development support, material and project management, production, and logistics to after-sales service. Its customers include well-known national and international companies, particularly in the automotive, telecommunications, consumer electronics, industrial electronics, and medical and measuring instrument technology sectors.

Primepulse SE holds investments in companies from various sectors with a technological focus. The companies benefit from the expertise, resources, and contacts of the diversified Primepulse network. PRIMEPULSE Group is thus expected to exceed one billion euros in consolidated sales with over 4,000 employees in the next fiscal year.

The team led by Boris Duerr regularly advises Primepulse on transactions, most recently on the acquisition of Stemmer Imaging AG, which has since been listed on the stock exchange, as well as on the acquisition of Steca Elektronik.
