Gene Berk is a member of the Firm’s Health Care Practice Group in the Sacramento office of Buchalter. Mr. Berk has 33 years of experience representing major health care entities and has led significant acquisitions in the expansion, reconstruction and implementation of various hospitals, surgery centers and medical groups throughout the United States. Mr. Berk has assisted healthcare companies from initial development to the reorganization of legal departments including the development of numerous strategic plans for future growth of such companies.

  • Represented Molina Healthcare acquisition of HIM Division of Unisys.
  • Represented Molina Healthcare in the development and reorganization of their legal department including the development of a strategic plan for clinic operations, consolidation, and future growth.
  • Represented Harbor View Medical Center in the restructuring of the hospital ownership and syndication of limited partnership.
  • Represented Beverly Hills Medical Center in a hospital acquisition.
  • Represented Fresno Heart Hospital as outside general counsel, and the development and syndication of small specialty heart hospitals.
  • Represented OrNda Health (FKA Republic Health, acquired by Tenet Health System) as outside general counsel for California hospitals, including restructuring of hospital ownership and syndication of limited partners (Memorial Hospital of Gardena, Physicians’ Community Hospital, Coastal Communities Hospital).
  • Represented Greater Sacramento Surgery Center in the development and syndication of surgery center.
  • Represented Stockton Surgery Center in the development and syndication of surgery center.

  • Represented Golden State Nephrology in the structuring and restructuring of corporate organization and operational aspects of dialysis disease management company (joint venture with Caremark, acquired from Caremark, sold to Baxter).
  • Represented PrimeCare in acquisition primary care practices and IPA in Antelope Valley (sold to Phycor).
  • Represented Priority Health Systems in the development and operations (joint venture with physicians and hospital).
  • Represented Med Center Medical Group in the acquisition of primary care practices for UC, Davis Medical Center.
  • Represented Caremark in the development of joint ventures with physicians to develop and own infusion centers.
  • Represented Matrix Rehabilitation in the development of joint ventures with national PT company and local PTs to own and operate physical therapy clinics.
  • Assisted in the acquisition of HIM Division of Unisys.
  • Assisted in the Acquisition of healthcare plans in Missouri (appx. 75,000 members), Michigan (and subsequent merger into existing Michigan plan) (appx. 80,000 members) and California (appx. 85,000 members).
  • Assisted in the acquisition of indemnity health insurance shell company with 48 state licenses.
  • Acquired capital investment in a national vision care company.

On October 20, 2020, San Francisco County was upgraded to the “minimal” tier within the California COVID-19 tracking system, meaning it has the fewest restrictions on reopening all businesses as promulgated by the State of California. In order to qualify for the “minimal” tier, a county must have an infection rate of less than one daily new positive COVID case per 100,000 residents and have a positive test rate of less than 2% for two consecutive weeks...
