Welcome to the new half-yearly review of Krogerus' highlights! In this newsletter, we will share recent case highlights, firm news and insights.

Foreword

As 2024 draws to a close, it has been a busy year at Krogerus, despite challenging market conditions and ongoing geopolitical uncertainties. While there is still a degree of darkness and uncertainty in the world, we are seeing positive signs in the transactional market, which often signal the start of economic recovery.

In Finland, we are fortunate to have strong companies committed to investing in a better world and expanding into global markets. We all share the responsibility to look ahead and actively contribute to creating positive change and prosperity.

Looking to 2025, we at Krogerus remain focused on being part of this positive transformation. We will continue to help companies grow both in Finland and abroad, attract international capital, and navigate new legal frameworks by providing tailored and proactive legal solutions.

Krogerus received Mergermarket's Legal Adviser of the Year Finland award

We received Mergermarket's Finland Legal Adviser of the Year award for the second year in a row. Mergermarket's awards recognise outstanding contributions to creative advisory work on complex M&A transactions. The winners were announced on 27 November 2024 at the Mergermarket European M&A Awards. Mergermarket is a leading provider of M&A data and intelligence.

Pro bono highlights

This autumn, we have had the pleasure of helping the New Children's Hospital and Ashoka through two new pro bono cases.

Pro bono: New Children's Hospital
We served as pro bono adviser on the refinancing of the existing financing of the New Children's Hospital by a new term loan facility agreement signed on 17 October 2024. The New Children's Hospital is Finland's largest hospital focused on demanding specialist paediatric medical care.

"The funding secures the state-of-the-art operating environment for a world-class children's hospital in Helsinki. As a non-profit organisation, we are very grateful for Krogerus' pro bono work for the New Children's Hospital. Their expertise is first class, and their work was precise and prudent"

Pro bono: Ashoka
This autumn, we have also helped Ashoka, a nonprofit organisation that promotes social entrepreneurship, develop a Legal Guide for social entrepreneurs. The guide covers general business law topics such as structuring organisations, managing intellectual property and navigating various regulatory challenges in different jurisdictions. The Legal Guide clarifies these issues and enables social entrepreneurs to focus on what really matters – creating positive social change. The guide was developed in collaboration with Vinge (Sweden) and Kromann Reumert (Denmark).

Season's Greetings and a donation to MIELI Mental Health Finland

We wish you a warm and joyous holiday season and a happy New Year 2025!

This Christmas we have continued our tradition of making a donation to MIELI Mental Health Finland, the world’s oldest non-governmental organisation dedicated to mental health. With the Christmas donation, we continue our support for MIELI and its important mission of promoting mental health, providing crisis support and preventing mental health issues. MIELI was originally chosen by the people of Krogerus as the charity for our Christmas donations.

With the received Christmas donations, MIELI will organise peer support groups, provide help and support to young people through its Sekasin online chat, and provide training for professionals working with young people. "Young people's mental health issues have increased due to several factors. The uncertainty of the future, fear of being left alone, pressure from school and concerns for livelihood as well as global problems, such as, the environmental crisis and the threat of war cause stress and take a toll on the younger generation's mental health. Right now, the increased amount of mental health issues presents serious problems to young people, but in the future, it will also have an impact on the national economy", says MIELI's Communications Director Liisa Partio.
