New Partners

Qing Jing
Ms. Jing's main practice area is onshore and offshore fund formation and asset management. Ms. Jing has extensive experience in private investment fund formation and investment, having specialized for many years in advising on the formation of onshore and offshore funds and asset management. Ms. Jing has represented dozens of international and domestic hedge funds, private equity funds, trust companies, insurance companies and fund business subsidiaries of securities companies in a large number of funds and the design and formation of other investment products. She is deeply involved in advising on the operation and formation of private equity funds and asset management plans, including with respect to regulatory and compliance, corporate governance, and equity incentive and personnel arrangements.

Jing Liu
Ms. Liu specializes commercial dispute resolution. She has represented clients in litigations, arbitrations and settlement negotiations covering equity transfers, security disputes, commercial leases, options disputes and other areas, especially disputes involving investments, financing and private equity funds. Ms. Liu has successfully dealt with a variety of disputes on behalf of clients involving equity repurchases, control of funds, and withdrawal of related fund investors/partners. Due to her years of valuable experience, Ms. Liu excels at formulating litigation/arbitration strategies based on the circumstances of her clients and at making proper use of litigation techniques to maximize their interests.

Lulu Wu
Ms. Wu has been practicing law for over nine years and specializes in financing and investment (equity and debt), domestic and cross-border acquisitions, corporate restructuring, foreign investment, negotiating commercial contracts, and general corporate consulting. Ms. Wu is familiar with the diverse legal needs of a variety of clients, having represented many clients, from institutional investors, large-scale group companies and fast-growth companies, to start-ups and their founders. Ms. Wu has participated in projects in a broad array of industries, including artificial intelligence, media and entertainment, big data, high-tech, and mobile internet.

Charles (Haosi) Wu (Miao &Co., In Association with Han Kun Law Offices)
Charles Wu specializes in cross-border venture capital and private equity, mergers and acquisitions, and general corporate matters. He leverages the firm's full-service resources to explain "China specific" issues to international private equity and multinational clients in a clear, concise, and digestible manner. Charles also represents domestic clients in pre-IPO cross-border venture capital financings, mergers and acquisitions, joint ventures and strategic alliances, follow-on financings of companies listed on the Stock Exchange of Hong Kong or the NYSE/Nasdaq, public and private secondary disposals, Hong Kong transactional and compliance matters, and outbound investments in non-PRC jurisdictions.

Yao (Ally) Hu
Ms. Hu has extensive experience in providing fund formation, operation, and management legal services to various types of domestic and overseas funds and fund management institutions, including private equity investment funds, private venture capital investment funds, FOFs, QFLP funds, real estate funds, secondary funds, government guidance funds, M&A funds, private securities investment funds, and contractual funds. In addition, Ms. Hu represents various domestic and overseas LPs, including FOFs, government guidance funds, insurance institutions, listed companies, and large state-owned and private enterprises in their investments in different types of domestic and overseas funds. Ms. Hu also provides compliance consulting services for many fund clients on the operation and management of private investment funds post establishment, and provides services for the design of internal team incentive plans for many first-tier investment funds. Meanwhile, Ms. Hu participates in the formation of and investment in many trusts and asset management plans, as well as in domestic and overseas PE/VC investment and financing projects.
