Consortium Centro América Abogados Advises Grupo Carvajal in Acquisition Process in El Salvador

The El Salvador office of Consortium Centro América Abogados advised Grupo Carvajal, one of the largest corporate groups in Colombia, in the acquisition of the assets and operations of Dipsa, one of the main manufacturers and distributors of packing products in Central America.

The transaction, which started in February 2012, was structured as an asset deal through which Carvajal Empaques, S.A. consolidated its position in the region. In 2007, Grupo Carvajal, also advised by Consortium, acquired the operations of Termoformados Modernos, S.A. de C.V., which also had a significant share in the packing market in El Salvador and Central America.

Consortium advised Grupo Carvajal in the due diligence phase, the structuring of the operation, the negotiation of the purchase agreements and post-closing matters.

For Oscar Samour, partner of the firm that lead the transaction, this operation was particularly complex, since it started as a share deal and as the negotiations progressed it was transformed into an asset deal: “the individualization of each of the elements that formed the operation of the target required intense work form behalf of the attorneys involved in the different areas of law, particularly intellectual property and environmental”.
