Overview on Indonesian Subsidiaries from a Legal Perspective

On 30 August 2018, the Makarim & Taira S. (M&T) team with Miyakezaka Sogo Law Offices held the second part of its Skype seminar for Japanese companies looking to invest or having investment in Indonesia.

Japan has been a key investor and strategic partner to Indonesia, investing heavily in the transportation, power and industrial sectors over the past couple of years. Entitled “General Overview on Indonesia Subsidiaries from a Legal Perspective”, the session tackled the business vehicles in Indonesia and the common forms of business vehicles for foreign companies. Three M&T Partners, Kurniawan Tanzil, Alexandra Gerungan, and Teddy Suprijadi, defined the structures of these business vehicles; the requirements, restrictions, and appointments of directors and commissioners, as well as their specific duties and responsibilities; managing an Indonesian subsidiary; and confidentiality and restrictions in cases of termination or dissolution of a business vehicle.

Kurniawan Tanzil is a Partner in the Banking & Finance department of Makarim & Taira S. and has represented domestic and international clients in financing transactions (including project finance); mergers and acquisitions; debt restructurings; and aircraft, IT and tele-communications as well as capital market related transactions (such as Initial Public Offerings (IPO)). Alexandra Gerungan’s practice focuses on litigation/dispute resolution, with her experience ranging from civil lawsuits to arbitration, alternative dispute resolution, anti-corruption investigation, employment issues, land/property cases, insurance, banking and future exchange claims/disputes, and police investigations. Teddy Suprijadi is known for his practice on business law and related commercial matters, and has dealt with general corporate and commercial matters, foreign investment, joint ventures, corporate restructuring, and establishment of new businesses by major foreign companies in Indonesia.
