Profile

Robert Stemler is a Shareholder in the Firm’s Orange County office and a member of the Corporate practice group. Mr. Stemler has approximately 30 years of experience as a business/corporate real estate lawyer, culminating in his present transaction-focused practice, which includes corporate law, mergers and acquisitions, real estate transactions, entity formation, corporate finance, commercial transactions, licensing agreements and technology transfers.

Mr. Stemler represents buyers and sellers in a broad range of mergers, acquisitions, and other business combinations. His clients include both international and domestic clients.

Mr. Stemler counsels companies at all stages of their evolution–from business creation to day-to-day governance, exit strategies, liquidity events, and dissolution. He has advised clients in operational, strategic, employment, corporate governance, and commercial matters, including business combinations, recapitalizations, and reorganizations. In addition, Mr. Stemler has significant experience structuring and negotiating joint ventures and partnerships as well as secured lending facilities.

Mr. Stemler handles real estate work on the transactional side, including sales, purchases, leases, and property development.

  • Representation of a company that provides information technology solutions for hospitals, medical groups, and individual physicians. The transaction value was in excess of $75,000,000.
  • Representation of a consumer products company in Northern California. The transaction value was in excess of $15,000,000.
  • Representation of a beverage equipment manufacturer located in California and Florida. The transaction value was in excess of $25,000,000.
  • Representation of an industrial clothing company in Tennessee. The transaction value was in excess of $150,000,000.
  • Representation of an industrial clothing company in California.  The transaction value was in excess of $100,000,000.
  • Representation of a foreign company in its acquisition of 100% equity interest in a domestic personal protective equipment designer, manufacturer, and distributor. The transaction value was in excess of $42,000,000.
  • Representation of a domestic transportation and logistics company in its acquisition of the assets of the United States based subsidiaries of a multinational transportation and logistics company. The transaction value was in excess of $54,000,000.
  • Representation of private equity firm in its sale of a domestic transportation and logistics company. The transaction value was in excess of $205,000,000.
  • Representation of the equity owners of a domestic wholesale spice company selling to a foreign purchaser. The transaction value was in excess of $11,000,000.
  • Representation of the equity owners of an aircraft service provider in their sale of the assets of certain operating groups of the company. The transaction value was in excess of $11,000,000.
  • Representation of the equity owners of an insurance broker firm in a stock purchase transaction. The transaction value was in excess of $11,000,000.
  • Representation of the equity owners of a manufacturing company that provides product design, prototyping through production tooling and automated manufacturing in a sale transaction. The transaction value was in excess of $12,000,000.
  • Representation of the equity owners of a company that designs and manufactures refrigerant leak detection products, and provides energy monitoring services and data analytic solutions. The transaction value was in excess of $30,000,000

Real Estate

  • Representation of the owner of two commercial buildings in California. The transaction value was in excess of $80,000,000.
  • Representation of the borrower in a collateralized mortgage transaction in California. The transaction value was in excess of $10,000,000.
  • Representation of the purchaser of a commercial industrial property in Chula Vista, California. As part of the transaction, KYL formed the acquisition entity and assisted the buyer with the private placement.  In addition, KYL put together the tenancy in common structure on the buy side and the facilitation of a 1031 exchange by one of the tenants in common.  The transaction value was approximately $10,000,000.
  • Representation of the Seller of the commercial/industrial real estate transaction in the City of Paramount. The transaction value was $19,000,000.
  • Representation of the trustee of bankruptcy estate selling a manufactured home development. The transaction value was approximately $11,000,000.
  • Representation of a real estate developer in an acquisition of a historic hotel building in California. The completion of the transaction included conducting due diligence on the property, structuring entities, negotiation with mortgage lender and mezzanine lender for financing the acquisition. The transaction value was in excess of $38,000,000.
