Adam is an experienced litigator and trusted problem solver.

Adam represents businesses in complex civil, commercial, and consumer litigation throughout the United States with a focus on contract disputes and related claims.

Adam began his career as a judicial law clerk to the Hon. David R. Farmer, whom he considers an early mentor, in the Tennessee Court of Appeals. He has since handled appeals in the Texas Courts of Appeals, the United States Court of Appeals for the Fifth Circuit, and the United States Court of Appeals for the Sixth Circuit.

Adam is admitted to practice in Texas, Tennessee, each of the United States District Courts for Texas and Tennessee, the United States Court of Appeals for the Fifth Circuit, and the United States Court of Appeals for the Sixth Circuit.

Adam also is a certified information privacy professional (CIPP/US).

Representative Experience

Commercial Litigation

  • Represented metal refinery as the plaintiff in a breach of contract action arising out of alleged theft of $1.7 million in precious metals, including a successful request for emergency injunctive relief in state court and later defense of an emergency motion to enforce automatic stay in related Chapter 11 bankruptcy.
  • Represented major pipeline company seeking $40 million in contractual damages against a producer of raw NGL mix after it rejected a long-term purchase agreement during the course of a Chapter 11 bankruptcy.
  • Represented international oil company and its US affiliate in a breach of contract and trade secrets dispute involving sensitive fracking technology, successfully obtaining a preliminary injunction that was affirmed on appeal.
  • Defended insurance agency against claims made in connection with lapsed coverage discovered after a fatal accident at the plaintiff’s construction site.

Consumer Litigation

  • Represented financial institutions and mortgage servicers in breach of contract, fraud, and wrongful foreclosure actions in Texas and Tennessee.
  • Defended student loan servicer against claims made under the Telephone Consumer Protection Act and Fair Credit Reporting Act throughout the United States.
  • Managed caseload of more than 250 litigation matters in Florida, Illinois, Louisiana, Oklahoma, Arkansas, Mississippi, and Iowa as seconded in-house counsel while continuing to handle outside counsel duties.
  • Won trial as first-chair counsel for general contractor litigating competing claims for breach of contract and damages in Texas state court.
  • Obtained summary judgment for title company defending against breach of contract, fraud, and negligent misrepresentation claims.
  • Defended retailer against putative class action involving alleged violations of the Telephone Consumer Protection Act’s telemarketing provisions.
  • Won early motion to dismiss a borrower’s claims against a student loan servicer under the Fair Credit Reporting Act with prejudice.
  • Drafted successful motion to dismiss a borrower’s claim against a student loan servicer under the federal False Claims Act.
  • Successfully moved to vacate a summary judgment wrongly requiring a national bank to pay more than $100,000 to the estate of a deceased account holder.

Advice and Counseling

  • Provided advice and counseling to Texas transmission-only electric utility in connection with contract and litigation matters.
  • Counseled mortgage servicers when responding to requests from the Consumer Financial Protection Bureau (CFPB).
  • Assisted mortgage servicer with response to a state attorney general’s inquiry into foreclosure billing practices and vendor management.
  • Participated in a multi-month, on-site remediation project to address concerns raised by the Office of the Comptroller of the Currency (OCC) in connection with foreclosure fees and costs.
  • Acted as oversight counsel in escalated consumer financial services cases throughout the country to ensure timely resolution of strategically significant issues and emergencies.

Drafting

  • Assisted student lender with preparation of form contracts and disclosures in support of a new in-school student lending platform.
  • Advised student lender on compliance with federal and state laws governing refinance loans, including assistance with form contracts and disclosures.
  • Drafted purchase agreement for sale of privately held limited liability company.
