David’s practice focuses on international and domestic public and private mergers and acquisitions, divestitures, investments, joint ventures and strategic transactions.

David also advises private equity funds and their portfolio companies in all types of middle-market complex business transactions, including auction processes, leveraged buyouts and tax-free reorganizations.

David’s clients include a broad range of publicly owned and privately held US and foreign companies. David has been involved in numerous significant acquisitions, mergers, joint ventures, concessions and other business transactions, including those involving cross-border complexities. David regularly represents foreign clients in connection with US acquisitions, as well as domestic companies in connection with their international expansion and divestitures.

  • Represent portfolio company of Hudson Advisors in divestiture of a division of a portfolio company.
  • Counsel to sponsor Fifth Lake Management in numerous investment transactions.
  • Counsel to OmniMax International, Inc. in multiple domestic and international transactions.
  • Represent Accordion Health in its sale to Evolent Health.
  • Represented Promerica Financial Corporation in multiple acquisitions, including the acquisition of Banco Citibank de Guatemala, S.A. and affiliate Cititarjetas de Guatemala Limitada and the acquisition of shares representing 56 percent of Banco de la Producción S.A., Ecuador’s third-largest publicly traded lender.
  • Represented South Florida company in the disposition of its portfolio of over 100 US service station assets to 7-Eleven, Inc.
  • Represented pharmaceutical marketing services company in its $65 million sale to a publicly listed company.

  • Represented private equity fund in its acquisition of a leading golf management company.

  • Represented Banco Santander International in numerous acquisition transactions of private banking assets under management and loans.

  • Represented Banco de Sabadell, S.A. in transaction involving transfer to Sabadell of $1.26 billion in assets under management and loans held by the Miami Branch of Lloyds TSB Bank.

  • Served as exclusive concession counsel to Project Service LLC on a public-private partnership transaction with the State of Connecticut to redevelop, operate and maintain 23 highway service areas across the state. Project Service LLC is a joint venture between The Carlyle Group, Doctor’s Associates, Inc. (the parent company of SUBWAY™ Restaurants) and Subcon Inc. (the development company for Subway™ restaurants in Connecticut and New York).

  • Represented Banco de Sabadell, S.A. in its acquisition from The Bank of New York Mellon Corporation of all of the stock of Mellon United National Bank, which had deposits of $1.675 billion and $875M of loans.

  • Represented one of Spain’s leading construction groups in expansion into oil waste management in the U.S. through its acquisitions of two subsidiaries of Siemens Water Technologies Corp. for $182.4M.

  • Represented a Danish company, one of the world’s largest suppliers of frozen bread products, in its acquisition of a Florida-based company.

  • Represented a number of private foreclosure, bankruptcy, eviction and REO services information processing businesses in the sale of non-legal support assets to a private equity fund.
