Acted for Fortis Inc. in its $600 million bought deal public offering of Series M first preference shares, one of the largest preference share offerings in Canadian history.
Acted for a syndicate of underwriters led by BMO Nesbitt Burns Inc. (“BMO”) and CIBC World Markets Inc. (“CIBC”) in connection with Milestone Apartments Real Estate Investment Trust’s (“Milestone”) $115 million bought deal public offering of trust units.
Acted as Canadian counsel for a syndicate of underwriters led by HSBC Securities (USA) Inc. and Morgan Stanley & Co. LLC in connection with an offering by Goldcorp Inc. in the United States under the multi-jurisdictional disclosure system (“MJDS”) of US$1 billion principal amount of notes.
Acted for CIT Financial Ltd. in connection with the establishment and term conversion of a non-recourse construction and term loan for a 10 MW ground-mount solar project located in Aylmer, Ontario.
Acted for a syndicate of underwriters led by CIBC, Scotia Capital Inc. (“Scotia Capital”), TD Securities Inc. (“TD”) and BMO in connection with Crombie Real Estate Investment Trust’s (“Crombie”) $60 million public offering of trust units and $40 million private placement of class B LP units.
Acted for Fortis Inc. in connection with the second instalment payment under its $1.8 billion convertible debentures represented by instalment receipts.
Acted for a syndicate of underwriters led by BMO and National Bank Financial Inc. (“NBF”) in connection with HealthLease Properties Real Estate Investment Trust’s (“HealthLease”) $75 million public offering of trust units.
Acted for a syndicate of dealers led by BMO in connection with the renewal of the Greater Toronto Airport Authority’s (“GTAA”) $1.5 billion medium-term note program and the ongoing obligations under the dealer agreement.
Acted for a syndicate of underwriters led by Scotia Capital, CIBC and BMO in connection with Crombie’s $100 million bought deal private placement of bonds.
Acted for Xceed Mortgage Corporation in connection with its $53 million acquisition by MCAN Mortgage Corporation by way of a plan of arrangement.
Acted for a syndicate of agents consisting of Edgecrest Capital and Canaccord Genuity Corp. (“Canaccord”) in connection with a two tranche public offering by North American Palladium Ltd. of $62 million of convertible unsecured subordinated debentures and common share purchase warrants. The securities were offered in Canada by way of a prospectus and in the United States by way of a registration statement filed under MJDS.
Acted for a syndicate of underwriters led by BMO and Canaccord in connection with Altus Group Limited’s $46.1 million public offering of common shares.
Acted for a syndicate of agents led by Scotia Capital, BMO and CIBC in a private placement by Crombie of $175 million principal amount of notes.
Acted for a group of lenders, comprised of The Manufacturers Life Insurance Company and Sun Life Assurance Company of Canada, in connection with the $135.2 million non-recourse construction and term loan for a 60 MW nameplate capacity wind generation project located on McLean’s Mountain, Manitoulin Island, Ontario.
Acted for a syndicate of agents led by Scotia Capital, BMO, CIBC, NBF and TD in connection with TMX Group Limited’s private placement of $1 billion principal amount of debentures.
Acted for a syndicate of underwriters led by BMO and Canaccord in connection with HealthLease’s $69 million public offering of trust units.
Acted for a private equity firm in connection with five butterfly reorganizations of the carried interest owned by the Canadian principals.
Acted for a syndicate of underwriters led by BMO and CIBC in connection with the $228 million initial public offering of Milestone, the first initial public offering in the world of a qualifying U.S. real estate investment trust by a non-U.S. entity.
Acted for a syndicate of dealers led by BMO in connection with the public offering of $400 million principal amount of secured notes issued by GTAA under its medium-term note program.
Acted for a syndicate of underwriters led by Canaccord and NBF in connection with the $121 million initial public offering of HealthLease.
