Profile

Matt is a structured finance lawyer who brings a litigator’s perspective to asset-based financing and securitization transactions. Accustomed to the accelerated pace of complex transactional matters and bankruptcy litigation, Matt effectively and efficiently guides underwriters, corporate borrowers and warehouse lenders in transactions involving consumer and commercial assets. He also represents debtors, secured creditors and unsecured creditors in state and federal litigation.

Matt uses his experience in complex transactions, bankruptcy litigation and as a federal judicial law clerk to provide his clients with multidimensional insight into their structured finance dilemmas. He has written extensively on a number of bankruptcy issues and has multiple publications to his credit.

Before joining the firm, Matt served as a law clerk to the Honorable John K. Olson, US Bankruptcy Court for the Southern District of Florida and judicial extern to the Honorable Claudia Wilken, US District Court for the Northern District of California. He is admitted to practice in California, Florida and North Carolina and all of the US District Courts and US Bankruptcy Courts in California, Florida and North Carolina.

He enjoys advocating for the best interests of children through his pro bono work representing child advocates for the Council for Children’s Rights.

Relevant Experience

  • Represented issuers, underwriters and other parties in securitization of and financing of auto loans, leases, trade receivables, reverse mortgages, insurance and other consumer and commercial assets.

  • Advised financial institutions in connection with marketplace lending program.

  • Counseled both buyers and sellers of distressed debt in domestic and international insolvency cases.

  • Represented a portfolio company and certain of its subsidiaries, at one time the third largest SBA lender, as Chapter 11 debtors-in-possession in the US Bankruptcy Court for the Southern District of New York through successful confirmation of a Chapter 11 plan.

  • Represented the official committee of unsecured creditors and the liquidating trustee of the estates of a national aluminum and glass manufacturing company in a Chapter 11 proceeding, where the eventual sale of the debtor provided a recovery to unsecured creditors.
  • Represented the official committee of unsecured creditors in a Chapter 11 cargo transportation bankruptcy case.
  • Represented the administrative agent for a multi-hundred million dollar loan in fraudulent transfer litigation in one of the nation's largest Chapter 11 homebuilder bankruptcy.
  • Represented financial institution in Chapter 11 bankruptcy of national mortgage originator, lender, and servicer.
  • Successfully defended major financial institutions, homebuilders, and building suppliers in multiple fraudulent transfer and preference adversary proceedings, including litigation involving ponzi schemes.
  • Substantial experience in defending financial institutions from allegations of violations of various consumer protection statutes.
  • Represented private equity firm in purchase of distressed assets in involuntary Chapter 11 proceeding.
