Wongsakrit Khajangson, counsel in the Bangkok office, focuses his practice on corporate, mergers and acquisitions, financial services, civil and commercial disputes, and debt restructuring. He has extensive experience in corporate, mergers and acquisitions, debt restructuring, and civil and commercial disputes. He has advised on a number of major and high profile transactions involving debt restructuring, commercial disputes, and mergers and acquisitions, and advises on regulatory compliance throughout all stages of such transactions.

M&A and Corporate Transaction

  • Represented Geo-Informatics and Space Technology Development Agency (GISTDA) in preparing and advising on the contract in relation to the development of Thailand Earth Observation System Phase 2 (THEOS-2) project.
  • Acting as counsel to Geo-Informatics and Space Technology Development Agency (GISTDA) in drafting form of contract and preparing bidding documents for GISTDA’s use in Thailand Earth Observation System Phase 2 THEOS-2 project (stage of pre-bidding).
  • Represented Rabbit-Line Pay Company Limited, a leading e-payment business operator in Thailand, on its share issuance, and subscription by Advanced mPay Company Limited, transaction for the total value of THB 787 million.
  • Represented Wave Entertainment PLC on its US$ 26 million acquisition of Efficient English Services Ltd., a franchisee of Wall Street English, one of the largest chains of English language schools in Thailand.
  • Represented Wave Entertainment PLC on its acquisition of Jeffer Restaurant Company Limited, a steak restaurant chain.
  • Represented Wave Entertainment PLC on its acquisition of 50 percent equity stake in Index Creative Village PLC, the conglomerate group of Creative Business Leaders in Thailand.
  • Represented Intouch Holdings Public Company Limited in relation to the acquisition of shares in Sinoze Company Limited.
  • Represented Shin Corporation Public Company Limited (currently named as Intouch Holdings Public Company Limited) in its acquisition of 25 percent equity stake in Computerlogy Company Limited.
  • Represented Shin Corporation Public Company Limited (currently named as Intouch Holdings Public Company Limited) in its acquisition of 25 percent equity stake in Meditech Company Limited.
  • Represented Shin Corporation Public Company Limited in its acquisition of 25 percent equity stake in Ookbee Company Limited.
  • Represented each of Shin Corporation Public Company Limited, Advanced Info Service Public Company Limited and Thaicom Public Company Limited as legal counsel on the implementation of a Performance Share Plan involving the issuance and offering for sale of Warrants under an Employee Stock ownership Plan (ESOP).
  • Represented BJC International Company Limited, a wholly-owned subsidiary of Berli Jucker Public Company Limited, in its acquisition of 75 percent equity stake in I Chi Ban Company Limited, a company incorporated and engaged in in the trading, distribution and manufacture of consumer products in Vietnam.
  • Represented BJC International Company Limited, a wholly-owned subsidiary of Berli Jucker Public Company Limited in its joint-venture transaction with Mongkol Group and the asset acquisition of Thai Corp International (Vietnam) Limited, a joint-venture company incorporated and engaged in the retail and wholesale business in Vietnam.
  • Represented a joint-venture company (a special purpose vehicle) established in Hong Kong in its joint-investment and financing arrangement in connection with the acquisition of 50 percent of the total issued shares in the capital of Mine Jeffrey Inc., a corporation engaging in the underground and open pit mining business in Canada.
  • Represented Al Raya Limited (an investment vehicle of the Emir of Bahrain) in its acquisition of 100 percent equity stake in DelmonSiam Company Limited, an owner of Sofitel Bangkok Sukhumvit.
  • Represented Rangsit Plaza in extension of lease terms and Future Park Leasehold Property Fund in the fund’s additional investment, capital increase and listing of increased property fund units.
  • Represented Thai Caprolactam Public Co., Ltd. in its amalgamation with Ube Nylon (Thailand) Limited.
  • Represented The Asian Entrepreneur Legacy One, L.P. (TAEL One) in its joint investment and financing arrangement in connection with the buy-back transaction of Premier Corporate Park.
  • Represented Gaysorn Holding Company Limited in its acquisition of Amarin Plaza, through the purchase of 100 percent of shares in Erawan Rajprasong, from Erawan Group.
  • Represented Property Perfect Public Company Limited in its sale of 33 percent equity stake in Krungthep Land Public Company Limited to FRASERS (Thailand) Pte. Limited.
  • Represented CPF Food Products Company Limited in its acquisition of assets in C.P. Interfood (Thailand) Company Limited.
  • Represented United Communications Industry Public Company Limited and Total Access Communication Public Company Limited in their sale of equity stake to Telenor.
  • Represented PTT Public Company Limited in its acquisition of shares from PTTEP International Limited in Thaioil Power Company Limited.

Proper Development

  • Acting as counsel to Thailand’s State Enterprise Policy Office (SEPO), the main regulatory body for PPP initiatives, in drafting standard form contracts for SEPO’s use under the Private Investments in State Undertakings Act B.E. 2556 (2013) and related laws and regulations. These standard form contracts are the templates by which PPP initiatives are carried out in Thailand, subject to some modification at SEPO’s discretion and negotiation with particular private-sector partners, and are presented to first-time private-sector partners interested in pursuing a PPP in Thailand.
  • Advised Airport of Thailand Public Company Limited (AOT) as the legal advisor to the Board of Directors.
  • Represented Airport of Thailand Public Company Limited (AOT) in preparing and advising on the agreement in relation to the master concessionaire for duty free at Donmuang Airport and the agreement in relation to the master concessionaire for food and beverage at Donmuang Airport.
  • Advised Islamic Bank of Thailand as the legal advisor to the Board of Directors.
  • Represented Thaicom Public Company Limited in preparing and advising on the agreements in connection with the construction, development and operation of a new commercial satellite (Thaicom-8).
  • Provided legal advisory services to multinational clients in the areas of real estate, construction and government concession.

Finance, Debt Restructuring

  • Represented Government Saving Bank Public Company Limited on THB 2,900,000,000 credit facilities granted to Double A Ethanol Company Limited.
  • Represented the Lenders on THB 3,100 million syndicated facilities granted to Siamgas and Petrochemicals Public Company Limited for the acquisition of BP’s subsidiary in PRC.
  • Represented Bangkok Mass Transit System Public Company Limited in connection with the public offering of issuance of THB 12,000,000,000 unsecured and unsubordinated debentures.
  • Represented Express Asset Company Limited in its corporate restructuring and the related mergers and acquisitions of its equity stake in relation to certain assets and liabilities of Dunkin’ Donuts (Thailand) Company Limited, Royal ABP Company Limited and Royal Food Services (Thailand) Company Limited.
  • Represented Soon Hua Seng (Kaset Rungreung Puechpol) Group, consisting of ten companies involved in the business of agricultural products, in their debt restructuring with TAMC.
  • Represented Sriracha Harbor Public Company Limited in its debt restructuring under the business rehabilitation process of the Bankruptcy Act.
  • Represented Siam Steel Syndicated Company Limited in its debt restructuring under the business rehabilitation process of the Bankruptcy Act.
  • Represented Olympia Thai Company Limited in its debt restructuring under the business rehabilitation process of the Bankruptcy Act.
  • Represented and advised both local and multi-national corporations on bankruptcy and rehabilitation matters.

Dispute, Litigation

  • Provided legal advisory services to Airports of Thailand Public Company Limited (AOT) in a potential dispute concerning the operation and management of concessionary business at Suvarnabhumi Airport under the relevant concession contracts.
  • Represented Advanced info Service Public Company Limited in connection with the potential disputes under the commercial contract.
  • Advised INTL ASIA PTE LTD, AIFAM PAN-ASIA OPPORTUNITIES FUND, and VÄRDE MAURITIUS LTD in connection with on-going civil and bankruptcy lawsuits which arise from or due to the commercial disputes under the debentures and the relevant contracts.
  • Advised a hotel operator and its management in a series of civil and criminal lawsuits against a listed company in connection with the disputes under the commercial contracts and shareholders agreement.
  • Advised Siam Kempinski Hotel, a hotel operator, in various corporate and commercial litigation matters.
  • Advised Sofitel Bangkok Sukhumvit, an affiliate of the Crown Property Bureau, in various corporate and commercial litigation matters.
  • Advised Al Raya Limited (an investment vehicle of the Emir of Bahrain) in connection with on-going dispute resolution matters affecting its Sofitel Sukhumvit Hotel in Bangkok.
  • Advised various local and international clients in commercial claims and contractual disputes.
