Isaac concentrates his practice on public finance transactions.

Isaac has represented cities, counties, universities, school districts, public authorities, investment banks and private companies in a variety of public finance transactions as bond counsel, tax counsel, underwriter's counsel, disclosure counsel, trustee's counsel and issuer's counsel. He has experience with a broad range of publicly offered and privately placed tax-exempt and taxable financing structures, including general obligation bonds and notes, revenue bonds, commercial paper notes, certificates of participation, pension obligation bonds, tax increment financing (TIF) bonds, industrial development bonds, as well as lease-purchase and other “subject to appropriation” financings.

Isaac’s practice includes advising clients on federal tax and arbitrage matters, continuing disclosure obligations and other securities matters, including federal securities regulations and state blue sky laws, and state constitutional and statutory issues. His practice also includes assisting private companies with state and local tax incentive and abatement programs.

Relevant Experience

  • Special counsel, bond counsel and disclosure counsel to large development authority in connection with the development and financing of a new NFL stadium.
  • Represented large municipal airport in connection with the establishment of a commercial paper program and the negotiation of a bank credit facility.
  • Underwriter’s counsel in connection with the issuance by a regional water pollution control authority of revenue refunding bonds.
  • Bond counsel to large municipality in connection with the competitive sale of general obligation referendum bonds.
  • Underwriter’s counsel in connection with the issuance of tax increment financing (TIF) bonds supported by state general fund appropriations.
  • Series bond counsel for a state’s general obligation bond issuance program.
  • Bond counsel to large municipality in connection with a $1.2 billion water and sewer refunding bond issue.
