Candace’s practice focuses on mergers and acquisitions, securities matters and corporate governance.

Candace Moss represents public and private companies in connection with mergers and acquisitions. Clients–including major retailers, manufacturers, transportation companies, and financial institutions–depend on Candace to guide them successfully through sophisticated transactions, allowing them to execute their business strategies effectively. 

She routinely advocates on behalf of her clients throughout all phases of transactions, engaging in preliminary discussions with counterparties, conducting due diligence on acquisition targets, mitigating risk by obtaining representation and warranty insurance, diplomatically navigating contentious negotiations to see matters through to closing, and providing post-closing legal services. 

Candace also provides corporate governance advice to clients. She has performed comprehensive reviews of corporate charters, bylaws, and governance policies, and has advised companies on strategic responses to shareholder activism. Additionally, she counsels clients on disclosure obligations under the securities laws and reviews proxy statements, quarterly reports on Form 10-Q, and annual reports on Form 10-K, among other securities filings.

Candace is a 2017 participant of the Leadership Council on Legal Diversity’s Pathfinder Program and a member of Legal Counsel for the Elderly’s Young Lawyers Alliance. She is also a contributor to the Hunton Retail Law Resource blog.

Relevant Experience

  • Represented North American retailer in a series of strategic acquisitions of privately-held regional stores.
  • Represented food manufacturer in the purchase of a private confectionery company, allowing it to diversify its premium product offerings.
  • Advised public retailer on post-closing organizational restructuring in connection with an international acquisition.
  • Analyzed organizational documents and governance policies of a hospitality company and developed takeover defense recommendations to implement in response to potential shareholder activists.
  • Prepared revised bylaws of a large public company, incorporating up-to-date governance features such as proxy access and advance notice.
  • Counseled public company transferring its stock exchange listing from NYSE to Nasdaq.
