Carney’s practice focuses on securities offerings, corporate governance matters and general corporate law.

Carney has experience in the representation of issuers and underwriters or initial purchasers in securities offerings, including initial public offerings, public follow-on offerings, at-the-market offerings, and private securities offerings under Rule 144A and Regulation D. Carney also advises public companies and boards of directors on corporate governance, securities law compliance, disclosure and reporting obligations, NYSE and NASDAQ listing requirements, and general corporate matters. Carney has represented clients in various industries, but mainly focuses on property and mortgage real estate investment trusts (REITs) and other real estate-related, specialty finance companies.

Relevant Experience

  • Represented NASDAQ-listed mortgage REIT in numerous public follow-on offerings of common and preferred equity securities raising an aggregate of $360 million.
  • Represented NASDAQ-listed mortgage REIT in the establishment of its $75,000,000 at-the-market offering program of common and preferred equity securities.
  • Represented NYSE-listed hotel REIT in the establishment of its at-the-market offering program and follow-on offering of common equity securities.
  • Represented NYSE-listed industrial REIT in the establishment of its at-the-market offering program and follow-on offering of common equity securities raising an aggregate of more than $316 million.
  • Represented the underwriters in the initial public offering of NYSE-listed REIT that owns and manages office properties.
  • Represented underwriters in a Rule 144A debt offering, the establishment of an at-the-market offering program, and numerous follow-on public offerings of common and preferred equity securities raising an aggregate of more than $1 billion for NYSE-listed REIT that owns and manages office and industrial properties.
  • Represented the underwriters in numerous follow-on public offerings of common equity and debt securities raising an aggregate of more than $931 million for NYSE-listed REIT that owns and manages retail properties.
  • Represented the underwriters in numerous follow-on public offerings of debt and common equity securities raising an aggregate of more than $625 million for NYSE-listed self-storage REIT.
