Carolyn represents borrowers and lenders in connection with leveraged finance transactions, with an emphasis on the representation of public and portfolio company borrowers in both cash-flow and asset-based financings.
Relevant Experience
- Represented publicly traded diversified telecommunications holding company in a $960 million senior secured financing, the proceeds of which were used to acquire a publicly traded provider of wireless communications services.
- Represented Administrative Agent and Joint Lead Arrangers in connection with $160 million senior secured credit facilities to a publicly traded gaming company in connection with a leveraged buyout.
- Represented Administrative Agent and Lead Arranger in connection with a $225 million senior revolving credit facility to a publicly traded home health care company.
- Represented public company borrower in connection with a $1.1 billion term and revolving credit facility.
- Represented private equity portfolio company in connection with a $230 million secured credit facility.
- Represented issuer of $27 million senior notes in connection with a back-leverage transaction involving multiple portfolios of solar assets.
- Represented public company borrower in connection with the incurrence of $400 million of incremental debt under its senior secured term loan facility.
- Represents borrowers in routine loan administration, including joinders, ongoing compliance inquiries, waivers, amendments and consents.
