Profile
Catherine’s practice focuses on obtaining merger clearance under the Hart-Scott-Rodino (HSR) Act and global merger control laws.
Catherine counsels on all aspects of HSR filings. She regularly represents clients before the Federal Trade Commission and the Department of Justice. She specializes in guiding clients through the merger review process, from contemplating a transaction to filing premerger notifications to closing.
Catherine also represents clients in pre-acquisition and post-acquisition government investigations, including investigations in the defense, industrial manufacturing and retail spaces. Taking a business-focused approach, she works with clients to understand business objectives, creating strategies that achieve those objectives while reducing risk.
Catherine’s clients include multinational corporations, credit unions, energy holding companies and private equity firms. She also regularly counsels executives on HSR reporting requirements in connection with the exercising of stock options.
Additionally, Catherine assists on International Trade matters. She has developed experience in Customs regulations and duties, advising on requests for exclusion from steel tariffs imposed under Section 232.
Prior to joining the firm, Catherine was a television journalist, working at ABC and CBS affiliates.
Relevant Experience
- Represented a private equity buyer in a $3.6 billion acquisition of the largest privately-held midstream crude operator in the Permian Basin
- Represented a Canadian manufacturer in a $785 million stock deal
- Represented a major valve manufacturer before the Federal Trade Commission in connection with its sale to a competitor; the FTC cleared the transaction without divestitures
- Represented one of the world’s largest supermarket chains before the Federal Trade Commission in a strategic acquisition of grocery assets
- Represented a global Fortune 500 company in its acquisition of a contractor for the inspection and installation of fire safety systems
- Represented another Fortune 500 company in its acquisition of energy assets, adding to its diversified energy portfolio
- Represents multiple steel manufacturers seeking exclusion from steel tariffs imposed under Section 232
