Charles’ practice focuses on health care law and the representation of clients in a range of corporate, transactional, regulatory compliance and enforcement matters.

Charles advises health care providers, health plans and health care investors on matters involving the structuring of business transactions, corporate governance, regulatory compliance (including fraud and abuse, licensure, health privacy and reimbursement issues), internal investigations and enforcement matters. Prior to entering private practice, Charles served as a legal fellow in the Office of the Special Advisor to the CEO of the University of Virginia Medical Center in Charlottesville, Virginia, where he worked on a range of matters for the academic medical center.

Relevant Experience

• Advised clients as to regulatory risks, drafted transactional documents, and oversaw the closing of a multi-party private offering in an esoteric laboratory testing company.
• Coordinated review and analysis of over 400 implantable cardiac defibrillator cases by medical consultancy and client’s internal physician expert, and assisted client in negotiating settlement of a years-long, nationwide DOJ false claims act investigation.
• Advised health system affiliated accountable care organization in filing successful application to participate in the Medicare Shared Savings Program and analyzing its clinical integration efforts.
• Advised health system as to review of its policies and surgical consent procedures as they relate to bio-banking to meet research and clinical needs and to comply with the federal “Common Rule” and HIPAA.
• Advised clients with respect to federal and state disaster and emergency response, including issues arising under the Stafford Act.
• Advise health care systems as to acquisitions and joint ventures with other institutional providers and physicians.
• Regularly advise health care systems as to contractual arrangements with physicians, including employment, recruitment, call coverage, clinical co-management and other service agreements.
• Regularly advise clients as to health care regulatory aspects of private placement offerings to physician investors in health system affiliated specialty hospitals.
• Advise investors in health care companies as to structuring of business transactions and health care industry-specific legal issues.
• Regularly advise health care providers on regulatory and compliance matters related to ongoing operations, including Stark, Anti-Kickback, EMTALA, licensure, Medicare and Medicaid participation, reimbursement and health privacy issues.
