As part of the firm’s SmartCounsel, Charles’s practice focuses on drafting and negotiating commercial contracts and advising on general commercial contracting matters.

As a member of the firm’s global outsourcing and technology team and SmartCounsel, Charles helps corporate clients with a broad array of commercial contracting agreements, including master service agreements, software and licensing agreements and other technology-related contracts.

Prior to joining the firm, he served as associate general counsel to a global food manufacturer, where he provided results-oriented legal advice across the corporate landscape, including sales, marketing, operations, compliance, human resources and distribution. Charles brings a wealth of experience in connection with mergers and acquisitions, asset rationalizations, corporate strategy, litigation, labor and employment and intellectual property.

Relevant Experience

The following represents experience obtained prior to joining Hunton Andrews Kurth:

• Served as general counsel to a $7 billion consumer packaged goods subsidiary.
• Developed and implemented the training, audits and investigations of corporate policies and compliance programs, including an effective anticorruption program.
• Led reorganization of Poland’s largest meat company, including asset rationalizations, M&A transactions, refinancings, and first public-to-private conversion of a Polish company.
• Closed $1.5 billion in M&A transactions in the United States.
