Dan’s broad compendium of chemical and product safety regulatory knowledge helps him guide clients through the complexities of such regulations and their impact on compliance and business transactions.

As a former in-house counsel of a Fortune 20 manufacturing company and the general counsel of a privately held, multinational specialty chemical company, Dan truly understands client needs. He was recently described as a “valued partner” who knows “our business strategy,” by clients in Chambers USA, 2016.

Dan has over 35 years of experience working at the intersection of international and domestic business transactions and substantial chemical and environmental issues. He is valued by clients in the chemical industry and other commercial sectors for his deep knowledge of environmental health and safety matters, especially those relating to the investigation and remediation of contaminated properties.

 Relevant Experience

  • Named Special Environmental Counsel to Debtor that was a leading global supplier of specialty chemicals by US Bankruptcy Court in Chapter 11 case. Was successful on several matters essential to Plan confirmation, including reducing environmental claims from $3.6 billion to $100 million, and negotiating settlement with United States that secured Prospective Purchaser Agreement to induce purchase of Debtor property within Superfund site and transfer of RCRA Corrective Action site to Environmental Response Trust.
  • Advised chemical manufacturers and other clients for more than 30 years on regulatory matters under the US Toxic Substances Control Act (TSCA), including agency inspections, chemical data reporting requirements, pre-manufacture notifications, and significant new use notifications.  Advised chemical and other clients for more than 30 years on chemical regulatory matters arising under non-US laws, including the European Union REACH regulation, including chemical registration matters, restriction matters, substance identity issues, polymer exemption issues, use of “only representatives” and entry into “Consortium Agreements.”
  • Advised chemical and other industrial clients for more than 30 years on compliance with state, federal and international environmental, health and safety laws applicable to chemical and other manufacturing operations, including issues related to the manufacture of pentachlorophenol and electrical equipment containing PCBs.
  • Advised chemical and other industrial clients for more than 30 years on chemical, product safety, environmental, and health and safety issues in business transactions.
  • Advised multinational chemical company on product regulatory and environmental issues associated with its merger with another multinational chemical company, where combined business will be a 50/50 joint venture with annual revenues of € 2.1 billion ($2.4 billion).
  • Advised and represented portfolio companies of client on environmental and related issues in the sale of the companies’ portfolio of over 100 gas stations and convenience stores in Florida.
  • Represented client on sales of more than 25 closed manufacturing facilities with environmental issues, including a complex transaction involving a portfolio of nine brownfields properties in the United States, Mexico and Switzerland.
