David’s practice focused on asset financings and asset acquisitions and sales, including the representation of equity investors and lenders in US government contract financings and other lending transactions, leveraged lease financings (aircraft, railroad rolling stock, and other transportation equipment and assets), portfolio asset acquisitions and sales, nondistressed transaction restructurings and commercial real estate portfolio review.

Relevant Experience

  • Represented the investors in the recently completed $1 billion financing of the Tennessee Valley Authority’s John Sevier power generation facility
  • Represented the investors in two recently completed aircraft leveraged leasing transactions for a major aircraft leasing company.
  • Represented one of the two lenders in the largest "Super ESPC" (energy savings performance contract) financing yet undertaken, with respect to a biomass cogeneration facility at the US Department of Energy’s Savannah River Site.
  • Represented the lenders in two recent "Super ESPC" financings of energy savings equipment at the US Capitol Building
  • Represented the lenders in several other recent "Super ESPC" financings of energy savings equipment involving multiple "Super ESPC" contractors and US government ordering agencies, including the Architect of the Capitol, the Department of Justice, the Department of Agriculture, the General Services Administration, the US Army and the Department of Energy.
  • Represented several US and non-US banks and other financial institutions in connection with the restructuring of leveraged leasing transactions. 
  • Represented the Kingdom of Sweden in connection with the restructuring of its railroad rolling stock portfolio.
  • Advised a major US commercial lender in connection with its review of its commercial real estate portfolio.
  • Represented a major US bank in connection with the restructuring and sale of a substantial portion of its aircraft leasing portfolio.
