Dean’s practice focuses on mergers & acquisitions, capital markets, esports and real estate.

As a member of the financial institutions corporate and regulatory practice, Dean represents businesses in connection with all aspects of public and private company transactions, with a primary focus on mergers and acquisitions. He also represents initial purchasers in high-yield bond offerings, including drafting, reviewing and negotiating all collateral documents, offering memoranda, indentures and purchase and sale agreements. He also represents issuers in drafting registration statements on Forms S-1 and F-1 for initial public offerings and on Forms S-3 for takedown shelf offerings.
Dean represents esports teams, institutions and talent in a wide range of legal matters, including entity formation, player and sponsor contract negotiation, and other general corporate concerns. Dean has negotiated contracts directly with Twitch, YouTube, game developers, and other sponsors for a range of players, streamers, and YouTube personalities.

His real estate experience includes representing large institutional bank lending clients in multi-faceted real estate and corporate financings, as well as drafting, reviewing and negotiating commercial leases.

Prior to joining the firm, Dean was an associate at a large law firm in New York.
