Dee Ann's practice focuses on capital markets.

Dee Ann has significant experience advising clients on securities law matters, including issuer and underwriter representation of equity and debt offerings, medium-term note programs, Rule 144A offerings with registered exchange offers and private placements. Dee Ann’s practice includes assisting public company clients in connection with mergers and acquisitions, spin-offs and tender offers. Her practice also includes assisting public company clients in connection with Securities Exchange Act reporting matters, SEC compliance and corporate governance matters as well as NYSE matters.

Dee Ann was recognized by the Legal Aid Society for Outstanding Pro Bono Service in 2009 and 2010. She is a member of the Hunton & Williams Opinion Committee.

Relevant Experience

  • Securities Offerings: Represent both issuers and underwriters in several billion dollars of offerings each year, including at-the-market offerings of common and preferred stock, equity unit and hybrid securities offerings, senior and subordinated debenture offerings and first mortgage bond offerings for clients primarily in the utility, REIT and commercial products industries.
  • Mergers & Acquisitions: Represented acquiror in $11.7 billion acquisition of public consumer products company.
  • Spin-Off: Represented parent corporation and subsidiary in $113 billion spin-off.
  • Spin-Off: Represented parent corporation in $61 billion spin-off.
