Profile

Harold Kushner’s practice is focused in the areas of tax and corporate law, including mergers and acquisitions, securities, estate and trust planning and employer resources. He represents clients in diverse industries such as timber management, steel, manufacturing, retail, technology and software, distribution, franchising, publications, construction, real estate development and healthcare, with an emphasis on representation of closely held corporations. In the area of emerging business and venture capital financing, he has represented start-up ventures and investors in private equity transactions. His extensive experience in mergers and acquisitions includes representation of buyers and sellers in connection with such transactions. He has worked with strategic buyers as well as financial buyers, including private equity funds. Harold recently represented the sellers for several logistic and transportation companies to a private equity firm. He also has handled mergers and acquisitions in various other industries, including information technology, distribution, manufacturing and others.

Harold advises families with respect to estate planning, business planning and financial planning relating to entities and properties that are closely held by family members. This includes advice with respect to family trusts, family limited partnerships and family limited liability companies that may be holding real estate, timber, natural resources and closely held operating businesses.

Harold has been active in various bar association committees. He has served as a representative of the Alabama Bar Association on the Internal Revenue Service Practitioner's Council, and is a former chairman of The Entrepreneurial Center, as well as the Alabama Securities Commission. Harold currently serves on the Southeastern Board of Directors for the Anti-Defamation League. He has served on various civic boards, has been active in the National Conference for Community and Justice, and has served as the secretary/treasurer of the Charitable Real Estate Foundation, as well as lectured at numerous seminars and institutes on corporate and taxation matters.
