Profile

Heather’s practice focuses on commercial contracting and technology transactions, corporate governance, and energy regulation.

Heather has experience advising domestic and international utility clients, with emphasis on commercial contracting and procurement processes, infrastructure project development, and electric regulatory proceedings. Prior to becoming an attorney, she worked as a certified public accountant.

Heather's pro bono work includes representation of Comfort Zone Camp, a bereavement camp for children, and Patriot Highlander, a nonprofit organization promoting adaptive sports for wounded veterans.

Relevant Experience

  • Advises utilities on complex procurement, commercial contracting, and licensing matters. Prepares RFIs, RFPs, master service agreements, statements of work, software license and development agreements, and software maintenance agreements.
  • Advises on corporate governance issues and general corporate matters.
  • Advises on the development and administration of credit policies applicable to participants in wholesale electric markets.
  • Represents utilities in proceedings before the Federal Energy Regulatory Commission (FERC).
  • Advised an ISO on an $80 million smart grid development project, including transaction structure, contractual issues, regulatory implications, and implementation considerations to enable public-private, multi-party investment in new smart grid technologies.
  • Assisted in representing the Government of Uganda on the development, construction and financing of the $872 million Bujagali hydroelectric facility on the River Nile.
  • Assisted in representing the Government of Tanzania on the expansion of a gas fired plant.
  • Assisted in representing the Government of Macedonia in redesigning its electricity market structure.
