Josh’s practice focuses on project finance and mergers and acquisitions related to energy and infrastructure assets.

Josh is a member of the firm’s Energy and Infrastructure Team. His practice focuses on representing financial institutions, institutional investors, private equity funds, and independent power producers on matters relating to the financing, construction, acquisition and sale of energy and infrastructure assets (including solar, wind, coal and natural gas facilities).

Relevant Experience

Project Finance

  • Represented financial institutions as tax equity investors in connection with over $350 million of investments in residential solar projects, including both single-investor and syndicated partnership-flip transactions.
  • Represented financial institution as lender in connection with a $350 million syndicated financing secured by cash flows generated by a pool of residential solar projects.
  • Represented institutional investor as lender in connection with a $80 million financing secured by cash flows generated by a pool of commercial solar projects.
  • Represented financial institution as lessor in connection with the sale-leaseback financing of a portfolio of distributed generation solar projects across the United States.
  • Represented lender in connection with a $75 million bridge financing for a lead residential solar developer.
  • Represented financial institution as lessor in connection with sale-leaseback financing of utility scale solar projects in Georgia.
  • Represented financial institution as lessor in connection with sale-leaseback financing of distributed generation solar projects in California.
  • Represented financial institution as tax equity investor in connection with the development and construction of wind projects in Idaho.

Mergers and Acquisitions

  • Represented independent power producer in connection with the acquisition of an interest in a gas-fired generation facility in New York.
  • Represented private equity fund focused on energy investments in the sale of a portfolio of hydroelectric generation facilities.
  • Represented independent power producer as member of a joint venture in connection with the acquisition of an interest in a portfolio of gas-fired generation facilities in four states totaling more than 1,000 MW.
  • Represented independent power producer in connection with the acquisition of an interest in a coal-fired generation facility in Pennsylvania.
