<ul><li>External general counsel for an SEC-registered Investment Adviser (RIA) with over $500 million of regulatory assets under management and more than $2 billion of invested capital in renewable energy projects and companies.</li><li>Oversaw RIA client’s compliance program from its creation, implementation, and conclusion of an SEC audit and investigation.</li><li>External general counsel for a high-growth renewable energy developer, from its formation and structuring; acquisition of an initial 1.5 Gigawatt project pipeline and growth to more than 3 Gigawatts of development and operating asset pipeline; $450 million capital raises through preferred equity offerings and project finance; and contracting – including for engineering, procurement & construction (EPC); operation & maintenance (O&M); and power purchase agreements (PPAs).</li><li>Represent bitcoin financial services and mining company as external corporate counsel, including for its venture stage acquisition and capital markets strategies.</li><li>Advised client through formation and financing of one of the earliest “Yieldcos” structured to own dividend-generating operating assets or late-stage development projects, eventually leading to $533 and $675 million IPOs to hold domestic and international projects. Included separate pre-IPO $100 million private placements and $525 million warehouse project finance facilities.</li><li>Negotiated and closed $250 million in equity and project debt financing for a 5O-megawatt solar project in Chile, awarded Latin American Project Finance Deal of the Year by Euromoney’s Project Finance Magazine.</li><li>Represented sponsor through the Initial Public Offering of a $100 million SPAC and a $450 million reverse merger with a Hispanic media company.</li><li>Represented solar project developer in the negotiation of EPC and PPAs for 876 MW of thermal and PV solar projects at oil fields in Bakersfield, CA.</li><li>Represented energy efficiency project developer in the formation and structuring of a financing affiliate to fund an $83 million pipeline in Hawaii; develop an offtake Energy Savings Agreement; and negotiate and document a $100 million project finance facility.</li></ul>
