Representative Experience

• Represented the underwriters in connection with a $445 million offering by an NYSE-listed midstream MLP of its 7.625% Series D Fixed-to-Floating Rate Cumulative Redeemable Perpetual Preferred Units.
• Represented the underwriters in connection with an offering by an NYSE-listed midstream MLP of $500 million aggregate principal amount of its 4.200% Senior Notes due 2023, $1 billion aggregate principal amount of its 4.950% Senior Notes due 2028, $500 million aggregate principal amount of its 5.800% Senior Notes due 2038, and $1 billion aggregate principal amount of its 6.000% Senior Notes due 2048.
• Represented the underwriters in connection with a $450 million offering by an NYSE-listed midstream MLP of its 7.375% Series C Fixed-to-Floating Rate Cumulative Redeemable Perpetual Preferred Units.
• Represented the underwriters in connection with an offering by an NYSE-listed midstream corporation of $1.25 billion aggregate principal amount of its 4.300% Senior Notes due 2028 and $750 million aggregate principal amount of its 5.200% Senior Notes due 2048.
• Represented the underwriters in connection with $96.3 million initial public offering of an NYSE-listed, oilfield services company.
• Represented the initial purchasers in a private placement by an NYSE-listed MLP and its corporate subsidiary (the Issuers) of $1 billion aggregate principal amount of the Issuers’ 4.875% Senior Notes due 2023, $800 million aggregate principal amount of the Issuers’ 5.500% Senior Notes due 2026, and $400 million aggregate principal amount of the Issuers’ 5.875% Senior Notes due 2028.
• Represented an NYSE-listed midstream master limited partnership in its acquisition of all the general partner interests of one of its subsidiaries from third party owners.
• Represented a compression technology company in the sale of its turbomachinery business and related assets in La Porte, Texas.

• Represented a privately held E&P company in a $525 million equity capital raise from private equity fund in connection with its acquisition of certain strategic upstream and midstream assets in the Anadarko Basin.
