Before joining Han Kun, Mr. Duan was a partner at Morgan Lewis, one of the largest law firms headquartered in the United States. Mr. Duan also worked with a several top US and British law firms in Hong Kong and Beijing. His practice areas include inbound and outbound mergers and acquisitions, private equity financings, tax and regulatory advice on various complex cross border transactions covering M&As, overseas greenfield investment and IP licensing. Mr. Duan specializes in assisting clients to design transaction structures and prepare documentation that both meet business objectives and comply with legal requirements.
Mr. Duan has represented Chinese and international companies in a variety of corporate transactions, including acquisitions by Chinese buyers of US public and private companies or assets and acquisitions by foreign investors of various Chinese companies. Mr. Duan’s representative transactions:
 Represented GRIMN in connection with its proposed acquisition of the global assets of Molycorp, a US company that entered into the bankruptcy process;
 Represented Huamao Properties in connection with the restructuring of its overseas shareholding structure;
 Represented the special committee of Pansoft, a China-based software developer listed on the NASDAQ Stock Market, in connection with its MBO and privatization transaction;
 Represented Pearson PLC in connection with the acquisition of Global Education, a China based language training company listed on the NASDAQ Stock Market;
 Represented Pearson in its acquisition of the China business of Wall Street English;
 Represented SK Capital in connection with its acquisition of the chemical business of Archroma in China.

Mr. Duan graduated from the University of International Business and Economics in
