Pracha’s practice focuses on general tax, corporate and commercial, as well as government contract

Pracha has over 25 years of experience in corporate restructuring, taxation, intellectual property and information technology licensing. He has considerable experience advising local and international clients in these areas, as well as those relating to mergers and acquisitions, corporatization and privatization, public and private participations (PPP), securitization and alternative dispute resolution and litigation. Prior to joining the firm, Pracha was a senior associate with local and international law firms and worked for one of the top five international audit and corporate firms.

Relevant Experience

  • Advised clients concerning the formation of all types of corporate entities, including limited liability companies, public limited liability companies, joint ventures and regional, representative and branch offices, including obtaining Board of Investment promotion, Industrial Estate Authority of Thailand approval and factory and business operation permits; tax planning; and mergers, reorganizations and dissolution.
  • Represented the contractor on all aspects relating to the turnkey construction contract of an expressway, including drafting and negotiation of the construction contract and project finance documents.
  • Represented manufacturing, construction and trading companies in negotiations with the revenue official to minimize the tax burdens following the tax audit conducted by the revenue official.
  • Represented a water utility company in negotiations with the revenue official concerning contention that the company failed to comply with the BOI promotion certificate to enjoin from making use of a corporate tax exemption, including preparation and filing of the appeal against the tax assessments issued by the revenue official.
  • Counseled the state enterprises in feasibility studies for the project of public and private participations for the land acquired under the Expropriation Act.
  • Counseled the state enterprises in feasibility studies for corporatization and privatization through to implementation, including advising on the corporate structure of the new entities, employment schemes and benefits.
  • Counseled the state enterprise bank on the taxation of the banking and finance transactions.
  • Counseled the state enterprise telecommunication service provider on preparation for entering into the corporate income tax regime.
  • Represented Thai telecommunication service provider in the Administrative Court on disputes with the National Broadcasting and Telecommunication Commission.
  • Represented a construction company in the Administrative Court on disputes with the Expressway Authority of Thailand.
