Thanita’s practice focuses on corporate, project, structured and acquisition financing (bilateral and syndicated, secured and unsecured), trade-financing transactions, debt restructuring and offerings, as well as general banking and finance regulations.

Thanita’s experience includes the acquisition financing of EUR 680 million MW Brands SAS by Thai Union Frozen, the largest outbound M&A undertaken by a Thai company and the issuance of first Standby Letter of Credit (USD 330 million) to back convertible bonds issued by BTS Group in Thailand.

Relevant Experience

• Represented the lenders for approximately THB 10,000,000,000 financing of the development, construction, operation and maintenance of the building consisting of residential project name “Project P-Residential” and office and retail located in inner city area in Prakanong, Bangkok. The sponsor of this project is Magnolia group.
• Advised Thai and international lenders on the project financing of two 125 MW gas-fired cogeneration power plants in Ratchaburi Province, Thailand developed by a subsidiary of Electricity Generating Public Company Limited (financing value THB 6,645,748,436 and USD 103,357,803).
• Represented the syndicated lenders in providing financing to Iconsiam with respect to the purchase of advertising media transactions entered into with the Krungthep Thanakom Company Limited. This project formed part of the sky train (golden line) project (financing value THB 2,080,000,000).
• Advised Hemaraj Land and Development Public Company Limited, Hemaraj Clean Water Company Limited and Hemaraj Energy Company Limited who borrow from the lender for on-lending transactions (financing value THB 15,500,000,000).
• Represented KASIKORNBANK Public Company Limited, Bangkok Bank Public Company Limited and Industrial and Commercial Bank of China (Thai) Public Company Limited for THB 1,000,000,000 financing of the payment in relation to solar roof top projects, expansion of warehouses, increase of production capacity of AW model compressors of the co-borrowers.
• Advised Bank of Ayudhya Public Company Limited for its purchase of existing loan from existing syndicated lenders and increase of facility amount to finance for extension phase of Iconsiam group companies, the renowned luxurious real estate developers (financing value THB 12,144,000,000).

• Advised TMB Bank Public Company Limited for the financing of the development, design, engineering, procurement, construction, commissioning, operation and maintenance of two solar power plants with total installed capacity of 5 MW located in Samutsakorn Province, Thailand.
• Advised Ngern Tid Lor Co., Ltd., on structure, perspective, and alternatives of the proposed lending-business of the company.
• Advised Nok Airline in connection with the sale and leaseback transactions with Ping An Leasing for two Boeing 737-8 Max aircrafts.
• Advised N.P.S. Stargroup Co., Ltd., a company within a group of Sunedison, Inc., the largest global renewable energy development company, for financing of the development, construction, operation and maintenance of three 6MW DC solar farm projects, located in Phichit Province, Thailand (financing value of THB 960,000,000).
• Represented Phelps Dodge International (Thailand) Limited to borrow from syndicated lenders for re-financing, shares acquisition and general working capital (financing value THB 3,200,000,000).
• Represented the lenders for THB 1,045,000,000 financing of the development, construction, operation and maintenance of the waste-to-energy RDF power plant project with total installed capacity of 9.4 MW and contracted capacity of 8.0 MW under the Power Purchase Agreements (PPA) located in Kaeng Khoi, Saraburi Province, Thailand.
• Advised International Finance Corporation, KASIKORNBANK Plc, Thanachart Bank Plc, Industrial and Commercial Bank of China (Thai) Plc and Bank of Ayudhya Plc on the financing for expansion of 9 solar VSPP developed by subsidiaries of Solar Power Company.
• Advised Thanachart Bank for the project financing of a 6.3 MW solar power plant which is developed and operated by IEC Mae Ramat Co., Ltd.
• Advised China Development Bank, Asian Development Bank for the project financing of an up to 9.8 MW VSPP waste-to-energy project of C&G Environmental Protection (Thailand) Co., Ltd. with the Bangkok Metropolitan Administration.
• Advised HSBC, Standard Chartered Bank, UBS, Bank of Tokyo-Mitsubishi and three other Thai lead arrangers on the US$ 6 billion acquisition financing given to CP All Public Company Limited to acquire shares in Siam Makro (the largest financing in Thailand to date).
• Advised The Siam Commercial Bank Plc, KASIKORNBANK Plc and Krung Thai Bank Plc as arrangers on THB 2,151,000,000 financing for Rojana Energy Company Limited to develop solar farms in Ayutthaya.
• Advised ING Bank N.V., Landesbank Baden Wüttermberg and two other Thai commercial banks under a joint financing of ECA backed Euro 155 million and THB 5.5 billion provided to TPI Polene Plc and under a security sharing and intercreditor agreement.
• Advised Bangkok Bank Plc. and The Siam Commercial Bank Plc. on THB 4,100,000,000 secured acquisition financing to Bangkok Ranch Public Company Limited (largest LBO in 2012).
• Advised KASIKORNBANK Plc, Thanachart Bank Plc, Industrial and Commercial Bank of China (Thai) Plc and Bank of Ayudhya Plc on financing for the development of 34 solar power projects by subsidiaries of Solar Power Company.
• Advised The Siam Commercial Bank Public Company Limited, Krung Thai Bank Public Company Limited and Thai EXIM Bank on the financing of THB 48,000 million 3G mobile phone system and network investment by subsidiaries of True Corporation Public Company Limited.
