Tip-apa is an associate in the Bangkok office. Her practice focuses on banking and finance, project finance, debt restructuring and business reorganization, mergers and acquisitions and general corporate and commercial law.

Tip-apa has substantive experience in representing major institutions in both Thailand and overseas in several high-profile transactions, particularly in the renewable energy sectors and real estate development.

Prior to joining the firm, Tip-apa worked with Norton Rose Fulbright (Thailand) Limited as an associate.

Banking and Finance/Project Finance

  • Successfully representing 8 lenders, consisting of The Siam Commercial Bank Public Company Limited, Bangkok Bank Public Company Limited, KASIKORNBANK Public Company Limited, Bank of Ayudhya Public Company Limited, Land and Houses Bank Public Company Limited, The Bank of Tokyo-Mitsubishi UFJ, Ltd, Mizuho Bank, Ltd. and CIMB Thai Bank Public Company Limited, on the financing of a portfolio of 12 gas-fired co-generation projects in Thailand, with an aggregate generating capacity of 1,470 MW, sponsored by Gulf Energy Development Company Limited and Mitsui & Co., Ltd.
  • Advising The Siam Commercial Bank Public Company Limited on the provision of THB 1,000,000,000 facilities to Wind Energy Holding Co., Ltd. for the purposes of funding the acquisition and development costs of wind farm projects in Thailand.
  • Representing The Siam Commercial Bank Public Company Limited on the THB 4,100,000,000 financing of development of a portfolio of 11 solar PV projects, with an aggregate capacity of 87MW, of Rang Ngern Solution Company Limited. The ultimate sponsors of the projects were Gunkul Engineering Public Company Limited and Super Block Public Company Limited.
  • Representing Krung Thai Bank Public Company Limited on the THB 1,460,000,000 financing of True Iconsiam Company Limited of development of TRUE ICON HALL.
  • Advising the Thai arm of Trans Thailand-Malaysia (TTM), namely Trans Thai-Malaysia (Thailand) Limited (TTMT), on the refinancing of US$195 million debt in relation to an offshore gas pipeline project located in the Malaysia-Thailand Joint Development Area in the Gulf of Thailand. The refinancing facility was provided by HSBC, Sumitomo Mitsui Banking Corporation and the Bank of Ayudhya Public Company Limited. PETRONAS of Malaysia and PTT Public Company Limited of Thailand are 50:50 joint partners in TTMT.
  • Advising KASIKORNBANK PUBLIC COMPANY LIMITED on the provision of bridge loan and term loan facilities in an aggregate amount of THB 25,000,000,000 to companies within the TCC Group for the acquisition of a portfolio of real estate projects from the Thai Commercial Investment Freehold and Leasehold Fund.
  • Representing KASIKORNBANK PUBLIC COMPANY LIMITED on providing the THB 1,720,000,000 facilities to Restaurants Development Co., Ltd. for the acquisition of 130 KFC stores in Thailand and relevant assets from Yum Restaurants International (Thailand) Co., Ltd.
  • Representing The Siam Commercial Bank Public Company Limited and Krung Thai Bank Public Company Limited as Mandated Lead Arrangers in the financing of True Group’s 3G Network Project, worth approx. THB 48,900 million (USD 1,630 million), one of the largest syndicated loan facilities in 2011 in Thailand.
  • Representing Bangkok Bank Public Company Limited and KASIKORNBANK Public Company Limited in the restructuring and refinancing of Kulthorn Kirby Public Company Limited and its subsidiaries.

M&A/Joint Ventures

  • Advising Vestas Australian Wind Technology P/L on Thai law-related matters with respect to its renewable energy related businesses in Thailand.
  • Advising and conducting legal due diligence exercise for Wind Energy Holding Co., Ltd. for the purposes of acquiring other development companies and obtaining funding development costs for 5 wind farm projects in Thailand from a Thai financial institution.
  • Advising and conducting legal due diligence exercise for various investors in connection with their potential acquisition of renewable energy projects.
  • Acting on behalf of Berli Jucker Public Company Limited in joint venture agreements with major logistic companies in Vietnam.
  • Representing The Siam Commercial Bank Public Company Limited in financing of the acquisition of Hutchison Telecom by subsidiaries of True Corporation.
