Tom Ferns is a partner and head of the Corporate Practice Group in the London office of Haynes and Boone. Tom's clients include public and private companies, corporate finance houses, financial advisers, sponsors, nominated advisers, brokers, owner managers and entrepreneurs.
His practices includes advising on: mergers and acquisitions (buy side and sell side); pre-IPO fundraising (acting for both companies and brokers); Initial Public Offerings (Main Market and AIM); public company fundraisings (including accelerated book builds and cash box placings), open offers and rights issues; public company takeovers (contractual offers and schemes of arrangement); cash confirmations and whitewashes under the Takeover Code; private equity, venture capital and debt backed management buy outs and buy ins; investments (acting for both companies and investors); joint venture and shareholder structures and arrangements; LLP, LP and partnership structures and arrangements; and corporate governance including the Takeover Code, the Prospectus Rules, the AIM Rules, and general company law.
