Profile
Tom is a trusted adviser to his clients on their public and private M&A transactions, strategic joint ventures and a broad range of corporate, commercial and governance matters. Tom regularly advises both foreign and domestic blue chip clients across a broad range of sectors including Energy & Resources, Renewables, Defence, Financial Services, Tech and Pharmaceutical.
Tom also frequently advises his clients on foreign investment regulation and dealings with Government in relation to FIRB and ACCC.
Tom is fluent in Korean and as the firm's Korea Practice Leader, he regularly acts for major Korean multinational corporations and State-owned enterprises on their Australian strategic investments and on-going operations.
Career highlights
- Acted for Hanwha Defense Australia on key requirements/workstreams of the Commonwealth’s LAND 8116 (a A$1.3 billion Self-propelled artillery project) and LAND 400 Phase 3 (an Infantry Fighting Vehicles program worth approx A$7 billion).
- Acted as independent legal advisor to POSCO Australia on its $79.6 million direct investment in ASX-listed Pilbara Minerals plus a convertible bond facility for a further $79.6 million.
- Advised POSCO on $240m IPO (relisting) of Jupiter Mines on the ASX.
- Advised POSCO on its A$35 million sale of interest in Integra Coal Joint Venture to Vale and subsequent 100% divestment to Glencore.
- Advised POSCO on the sale of its interest in the Carborough Downs Coal Joint Venture to Fitzroy.
- Advised LG Energy Solution in relation to its US$30 million investment via convertible notes in ASX-listed Novonix Limited.
- Advised Springvale SK Kores (owned jointly by Korea Resources Corporation (now known as KOMIR) and SK Networks) on its $50 million sale of 50% ownership of Springvale Joint Venture to Centennial Coal.
- Advised Wilmar on its A$1.75 billion acquisition of Sucrogen Limited (CSR’s sugar business) from CSR.
- Advised C.H. Robinson (a US publicly listed company) on its A$300 million acquisition of A.J. Considine Proprietary Limited, which operates through its subsidiaries, the APC Logistics international freight forwarding and customs broking business in Australia and New Zealand.
- Advised Macquarie Radio Network Limited on its A$200 million merger with Fairfax Media Limited's Fairfax Radio Network.
- Advised Ramcar/Supercharge on the A$140 million acquisition of Enirgi Group Services Australasia Pty Ltd from Rincon Limited (Canada).
- Acted for Perrigo Company plc and Elan Pharma International Ltd on their US$55 million acquisition of a group of OTC brands (including the Herron range of analgesics, vitamins and supplements) from affiliates of Aspen Pharmacare.
