She assists both Thai and multinational companies with various corporate and commercial matters, including advising and representing on a number of transactions involving strategic mergers and acquisitions and cross-border transactions. Varisa is also experienced in advising clients on preparing for initial public offerings (IPOs).

She has experience in assisting foreign investors in foreign business investments in Thailand in a variety of industries covering real estate, manufacturing, media and technology.

Relevant Experience

• Represented a leading telecommunication business company in Thailand, in several transactions involving its acquisition of shares in several start-up companies.
• Advised on corporate matters i.e. setting up a limited company, conversion of a private limited company to public limited company, applying for foreign business license and business certificate as well as providing legal advice on corporate issues in relation to the Civil and Commercial Code, the Foreign Business Act, the Exchange Control Act, the Securities and Exchange Act, the Revenue Code, etc.
• Acting as counsel to several private companies as the issuer in the initial public offering of its shares domestically pursuant to the regulations of the Securities and Exchange Commission and the subsequent listing of such shares on the Stock Exchange of Thailand. Currently, the transactions are in the process of business restructure and IPO preparation.
• Advised several public limited companies on regulatory compliance and organizing the annual general meeting of shareholders.
