Relevant Experience
- Advises clients on strategic planning designed to enhance or protect shareholder value, including Subchapter S restructuring, share repurchases/tender offers, holding company formations, anti-takeover strategic planning and corporate succession matters.
- Advises clients on all aspects of obtaining new financial institution charters (national bank, state bank), including the regulatory application process, capital acquisition phase and early stage development, as well as continued representation following bank opening.
- Mergers and acquisitions of healthy and troubled banks, branch sales and purchases, failed bank acquisitions and mergers of equals.
- General regulatory work including lending limit, Affiliates Act, Bank Secrecy Act, Community Reinvestment Act and fair lending advice.
- Former clerk for former Commissioner Scott D. O’Malia at the U.S. Commodity Futures Trading Commission where he assisted the Commissioner on various Dodd-Frank rulemakings, cross-jurisdictional matters with the Federal Energy Regulatory Commission, and regulatory issues pertaining to high frequency trading.
- Former intern with the Chief Staff Attorney’s Office of the Supreme Court of Virginia and, working on a third-year certificate, represented indigent criminal defendants in state courts in Southwestern Virginia.
- Former researcher at the Ford Institute for Human Security specializing in research of Corporate Social Responsibility and Codes of Conduct for the Global Fortune 500.
