Kudun and Partners successfully represented Energy Absolute Public Company Limited (“EA”), one of the leading producers of alternative energy products using modern technology, in connection with the disposition of 100% investment in E Transport Holding Co., Ltd., a subsidiary of EA, consisting of nine subsidiaries and an associate company, via a highly complicated process of Entire Business Transfer (EBT) to Thai Smile Bus Co., Ltd., a key player in the transportation service industry in Thailand with a significant total value of THB 6 Billion.

The transaction not only involves the disposition transaction but also entails project financing from various financial institutions. Our representation includes providing legal and tax advice on the proposed efficient structure, coordinating with multiple parties including the owner, the financial institutions, and its advisors as well as preparing all closing documents under the transaction within a limited timeframe. The project financing phase was particularly challenging as it was a requirement for the funds to be transferred through various channels to different entities involved in the transaction in one single day.

The transaction was led by Kongkoch Yongsavasdikul, partner, with assistance from Supatra Kerinsaguna, senior associate and Nutthar Hongchutchaval, associate of the firm.
