Private Equity Investor LEO II. Acquires Gesellschaft für Reisevertriebssysteme mbH (GfR)

Heuking Kühn Lüer Wojtek supported financial investor LEO II. Fonds, which was advised by DUBAG Group, on the acquisition of Gesellschaft für Reisevertriebssysteme GmbH (GfR), Bochum, from the portfolio of insolvent Thomas Cook Group.

At its Bochum headquarters and Berlin offices, GfR, previously a wholly owned subsidiary of insolvent Thomas Cook Touristik GmbH, provides numerous renowned tourism portals with services covering all aspects of professional travel customer management. GfR is a leading provider of tourist call center services in Germany. Established in 1997, GfR has some 500 employees, qualified tourism professionals, who, depending on the order, process bookings, check data, or respond to inquiries of end customers in German and English.

The acquisition resulted from a structured sales process in which the purchaser prevailed over other interested parties.

Munich-based DUBAG Group advises and manages private equity funds, focusing on the acquisition and active development of companies in special situations. Currently, DUBAG Group is investing funds from LEO II, a fund successfully launched with institutional investors in September 2019.

As several times in the past, Heuking Kühn Lüer Wojtek, with a team led by Dr. Andreas Lenz, advised the purchaser comprehensively in the context of legal structuring, due diligence, and the negotiation and conclusion of the acquisition agreement.
