Heuking advises va-Q-tec AG’s Supervisory Board on Business Combination Agreement with EQT Private Equity

Corporate and capital markets law experts Dr. Mirko Sickinger, LL.M., Partner, and Lena Pfeufer, Salaried Partner, advised the Supervisory Board of va-Q-tec AG on concluding a Business Combination Agreement between va-Q-tec AG and EQT Private Equity. Heuking will also advise the company’s Supervisory Board on the future implementation of the merger, in particular on the voluntary public takeover offer to va-Q-tec AG’s shareholders and the 10% capital increase from authorized capital as resolved by the Management Board and approved by the Supervisory Board, which will be fully subscribed by EQT Private Equity upon completion of the takeover offer at the offer price.

Würzburg-based va-Q-tec AG is a producer of vacuum insulation panels and thermal energy storage components as well as thermal containers and boxes for the transport of temperature-sensitive goods. In addition to its main plant, va-Q-tec also operates a production site in Kölleda (Thuringia). Its international business is managed by subsidiaries in Switzerland, United Kingdom, Korea, USA, Japan, Uruguay, Singapore, India, and Brazil. The entire group has been climate-neutral since 2021.
