Junfeng Cui

Ms. Cui specializes in competition/anti-trust and compliance. Ms. Cui has developed expertise across a variety of competition law practice areas, including merger filings, antitrust investigations, antitrust-related dispute resolutions, and competition compliance. In addition, Ms. Cui assists clients in handling corporate governance and compliance matters. Ms. Cui has represented many renowned multinational and domestic companies in diverse industries, including high-tech, software, internet, healthcare, shipping, automobile, logistics, FMCG, and agriculture.

Cencen Feng

Ms. Feng specializes in venture capital and private equity, M&A, capital market transactions and has a wide range of practice areas including technology, consumption, bio-medical, TMT, education, logistics and financial services. Ms. Feng has provided legal services to private equity funds and start-up companies and participated in hundreds of investment and financing transactions as well as numerous overseas capital market issuance transactions as the PRC counsel for issuers.

Jiankun (Rio) Li

Mr. Li specializes in commercial dispute resolution, cross border arbitration and legal risk management in relation to Hong Kong law. Mr. Li has provided legal services to listed companies, large state-owned enterprises and multinational corporations in both the mainland and Hong Kong. Mr. Li has extensive experience in general commercial contract disputes, investment disputes arising between investors or between investors and the company arising out of joint venture agreements, shareholders' agreements or the articles of association of the company, fight for control of company, equity redemption disputes, shareholders' derivative litigation and potential liabilities of directors.

Qian Li

Mr. Li specializes in merger and acquisition, venture capital, private equity, capital market, foreign investment, and general corporate matters. He is mainly responsible for due diligence, transaction structuring, transaction documents drafting, reviewing and negotiation, as well as legal and policy research. In the area of venture capital and private equity investments, Mr. Li has advised many venture capital funds, private equity funds, state-owned enterprises, strategic investors, and entrepreneurs from various industries such as internet, communications technology, fintech, semiconductor chip, consumption, healthcare, entertainment and education, etc., and has advised on a number of complex M&A transactions in the internet, telecommunication and technology industries.

Jingbo Luo

Ms. Luo specializes in private equity and venture capital, mergers and acquisitions, offshore listing and restructuring, foreign investment, and compliance matters. She provides a full range of legal services including transaction structure design, legal due diligence, legal document drafting and negotiation, project closing. The industries she advises on include internet, telecommunications, semiconductor chip, life science, intelligent manufacturing, artificial intelligence, energy, e-commerce live streaming, internet celebrity economy, education and gaming, etc. Furthermore, Ms. Luo has represented a fund in several U.S. dollar S fund transactions and RMB S fund transactions.

Xin Ma

Ms. Ma specializes in venture capital and private equity, domestic and offshore listing and restructuring, foreign investment and general corporate matters. She covers transaction structure design, legal due diligence, legal and policy research, and other legal services. Ms. Ma has represented investment funds, multinationals, state-owned enterprises, start-up companies and other clients on a number of complex cross-border transactions, involving venture capital, M&A, and joint ventures in the fields of intelligent manufacturing, technology, semiconductor chip, consumption, enterprise services, and healthcare. In addition, Ms. Ma has assisted a number of start-up companies in the areas of corporate governance, employee equity incentives, labor, and daily business compliance.

Huiyi Song

Ms. Song focuses on the private wealth management area of family law, trust, asset protection, and inheritance. She primarily advises high-net-worth individuals and their family members, family offices, trust companies and wealth management institutions represented by entrepreneurs and investors. Ms. Song has extensive experience in the planning and establishment of family trusts, family funds, and family offices, and has represented clients in ESG investment, charitable donations, art investments, and other derivative matters. Ms. Song has also provided legal support to many clients and presented expert opinions to the courts in marriage and inheritance cases, especially cross-border proceedings. In addition, Mr. Song has also acted as a regular legal counsel for several charitable organizations and university foundations and acted as a charitable trust supervisor.

Yunjia Sun

Ms. Sun specializes in banking and finance, aviation and aviation finance, and project finance. She mainly represents domestic and foreign leasing companies, airlines and banks on various aircraft and engine finance projects. Yaoyao Si

Ms. Si specializes in asset management, banking and finance, financial services, and financial supervision. She mainly represents international asset management companies, financial institutions, multinational corporations and domestic large-scale enterprise groups to provide legal services for their cross-border investment, legal services for various loan projects, as well as legal and compliance consulting services for general corporate issues. Ms. Si’s practice focuses on asset management, banking and finance, financial services, and financial supervision. Bing San

Ms. San's practice areas are commercial arbitration and litigation. She has represented domestic and foreign clients in various types of difficult commercial cases involving share buy-backs, financial loans, international trade and corporate liquidation in arbitration institutes including the China International Economic and Trade Arbitration Commission, the Beijing Arbitration Commission, and the Hong Kong International Arbitration Center as well as other courts in China including the Supreme People's Court. She is also adept at coordinating complex cross-border dispute resolution and has extensive experience in the area of enforcement.

Chunzi Wang

Ms. Wang mainly practices in the areas of real estate, mergers and acquisitions, and corporate finance. She has long provided legal services for many leading domestic and foreign real estate funds, internet technology groups, insurance groups and asset management institutions, and participated in projects involving equity M&A, asset M&A, private equity, real estate development, real estate project finance, asset management, and property management. She has extensive experience with a variety of complex transactions.

Zhenyu Wang

Mr. Wang mainly practices in the areas of domestic and overseas capital markets, mergers and acquisitions, and venture capital and private equity finance, especially in the areas of domestic and overseas listing, M&A and restructuring of listed companies, increase and decrease of shareholding of listed companies, and information disclosures. Mr. Wang has participated in several domestic and overseas IPOs, refinancing of listed companies, and major asset restructuring projects, and has provided legal services in relation to investment and financing transactions for many investment funds and start-up companies. His main responsibilities are the design of transaction structures and proposals, legal due diligence, drafting of legal documents and transaction negotiations, issuance of PRC legal opinions, and so on.

Yuanyan Xiao

Ms. Xiao Yuanyan's practice focuses on private equity and venture capital, mergers and acquisitions, domestic and international listings and restructurings, foreign investment, corporate daily legal services. She also has extensive experience in transaction structure design, transaction documents drafting and negotiation, and legal and policy research. Ms. Xiao has represented a number of foreign and domestic investment funds, database companies, AI biopharmaceutical companies, and insurance intermediaries in providing legal services in relation to corporate governance, labor, foreign exchange and employee stock option incentive plan. She also provides legal services in relation to corporate governance, employment, foreign exchange and employee stock option incentive plans. Ms. Xiao also provides China compliance advice to Russian companies and law firms. She has coordinated with foreign Russian lawyers to provide legal services to Chinese internet companies attempting to enter the Russian market.

Yizi Xie

Ms. Xie specializes in the areas of venture capital and private equity investment, overseas listing and restructuring, mergers and acquisitions, foreign direct investment, overseas investment for domestic enterprises, employee stock option incentive plans, and corporate daily legal services. She has extensive experience in deal structure design, legal documents drafting and review, deal negotiations, and legal due diligence. Ms. Xie practices in a wide range of industries, including internet, telecommunications, high-tech, electronic technology, life and medicine, energy, food, e-commerce, and film and television. Ms. Xie serves private equity funds, multinational corporations, state-owned enterprises, start-up companies, and listed companies, among others.

Yujia Zhao

Ms. Zhao specializes in cross border mergers and acquisitions, venture capital, joint venture establishment, as well as overseas investment on behalf of both state-owned and private enterprises. Ms. Zhao has represented Chinese clients in completing assets acquisitions and equity investments in Singapore, Israel, Vietnam, the United Kingdom, and other countries in the sectors of life science, intelligent vehicle manufacturing and sales, education and technology. In addition, Ms. Zhao has provided legal advice on technology development and licensing, and drug sales compliance for innovative biomedical companies.

Ying Zeng

Ms. Zeng specializes in commercial dispute resolution, and in particular cross-border disputes. With over a decade of legal practice in both China and the United States, she is knowledgeable about the commercial culture and legal systems of both countries and has accumulated rich experience in handling large and complex cross-border cases. Ms. Zeng has represented both domestic and overseas clients in many courts in China and the United States and at arbitration institutions. Ms. Zeng has successfully handled complex disputes across different industries and of different types in many different forums. She has personally acted for clients in international arbitrations and U.S. litigation proceedings; she has also managed foreign legal proceedings for Chinese enterprises and handled domestic legal proceedings for foreign clients in China. Ms. Zeng is a member of the PRC Bar and the Pennsylvania Bar and the New Jersey Bar in the United States.
