Beccar Varela advises on Banco Galicia’s CLASS XIII Notes Issuance.
Buenos Aires, February 15th, 2024. On January 17th, Banco de Galicia y Buenos Aires S.A.U. issued Class XIII Notes — simple, not convertible into shares, not guaranteed, denominated, integrable and payable in Pesos—, for a total nominal amount of AR$24,727,777,777. The issuance was made under CNV’s special Regular Issuer Regime, following the Prospectus for the Issuance of Negotiable Obligations in tranches for a maximum issue amount of up to US$500,000,000 (or its equivalent in other currencies).
Class XIII Notes, maturing on July 17th, 2024, will accrue interest at a floating rate equivalent to Badlar private rate plus a cut-off margin of 2% n.a. and will amortize its principal in one payment on the maturing date.
On January 15th, 2024, FIX SCR S.A. locally rated Class XIII Notes “A1+(arg)”; they were authorized for trading at Mercado Abierto Electrónico S.A. and Bolsas y Mercados Argentinos S.A.
In this notes issuance, Banco de Galicia y Buenos Aires S.A.U. acted as issuer and placement agent while Galicia Securities S.A. and Inviu S.A.U. acted as placement agents.
