About the Role

We are currently seeking to hire legal practitioners in the capital markets practice with over 3 years of experience to complement our award-winning practice. In this role, you will play a pivotal part in supporting our capital markets team in advising clients on a wide range of legal matters related to capital markets transactions in Thailand. You will be responsible for providing legal advice and support to clients engaged in various capital markets activities, including initial public offerings (IPOs), debt issuances, securities offerings, and regulatory compliance matters. Core Responsibilities

• • Conducting legal research and analysis on Thailand’s capital markets regulations and relevant laws.
  • Advising clients on structuring and executing capital markets transactions, including IPOs, debt offerings, and securities issuances.
  • Drafting and reviewing legal documents, including prospectuses, offering memoranda, and disclosure statements.
  • Assisting clients in obtaining regulatory approvals and complying with regulatory requirements.
  • Negotiating and drafting agreements related to capital markets transactions, such as underwriting agreements and subscription agreements.
  • Providing legal counsel on corporate governance matters and best practices for publicly traded companies.
  • Collaborating with internal teams and external stakeholders, including investment banks, regulators, and other legal advisors.
  • Keeping abreast of developments in Thailand’s capital markets regulations and industry trends.

Qualifications:

• • Qualified lawyer with a minimum of 3 years of post-qualification experience (PQE) in corporate law, with a focus on capital markets.
  • Strong knowledge and demonstrates a commitment to staying updated on evolving Thailand’s capital markets regulations and securities laws.
  • Experience advising clients on capital markets transactions, including IPOs, bond issuances, and securities offerings.
  • Sound judgment and analytical skills, with the ability to assess legal risks and provide practical solutions.
  • Proven ability to work effectively in a fast-paced environment and manage multiple priorities.
  • Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and colleagues.
  • Fluency in English and Thai languages (both written and verbal) is required.
