Shoosmiths advise PI Industries on latest international acquisition

Law firm Shoosmiths is advising PI Industries Limited (PI), a Fortune India 500 listed Agri-Sciences Company,  on its offer to acquire Plant Health Care PLC (PHC) - through takeover by way of scheme arrangement.

PI has held a leading position in the agricultural inputs industry for over 60 years and benefits from its presence across the complete value chain from product innovation to process development, and large-scale manufacturing to distribution. PHC is a leading peptide company in the agricultural industry, with innovative technology and enhanced manufacturing capabilities. The proposed acquisition of PHC will enable PI to offer a balanced portfolio of chemical and biological solutions.

A team of experts from Shoosmiths’ corporate division are advising on the deal, led by partners Andrew Millar and Elia Montorio, principal associate Poppy Ball, senior associate Ian Lawton and associates Kendra McCullough and Sarah Palmer. Further support was provided from incentives partner Dan Sharman and senior associate Emma Garthwaite, alongside advice on the court process from corporate restructuring and advisory senior associate Lucy Sanderson.

The transaction is subject to customary regulatory approvals and is expected to close in the coming months.
