HEUKING advises FLOWFRAME on acquisition of Pfeifer group
A team from HEUKING, led by Munich-based Partners Boris Dürr and Prof. Dr. Georg Streit, legally advised FLOWFRAME SE comprehensively on its acquisition of all shares in Pfeifer group through a structured bidding process. In addition to acquiring 100% of Pfeifer group’s shares, FLOWFRAME also redeemed the group’s outstanding financing with creditor banks. The transaction successfully closed at the end of August.
Pfeifer group, headquartered in Memmingen, stands as one of the country’s oldest companies, with a 445-year history. Pfeifer is a leading European supplier in lightweight architecture, as well as in rope, lifting, and construction technology, providing products and solutions to customers in the construction, logistics, and architecture sectors. Its extensive product portfolio includes wire ropes for construction machinery and elevators, slings and lifting equipment, and transport and composite systems for precast concrete construction. Globally, Pfeifer is also active in large-scale projects involving innovative building envelopes, roof constructions, and façade structures, including those for prominent sports venues like the Olympic Stadium in Munich, World Cup stadiums in South Africa, and the SoFi Stadium in Inglewood/California, USA. The acquisition by FLOWFRAME marks a significant milestone in Pfeifer group’s transformation and strategic realignment. As part of this transaction, over EUR 100 million in financing – spread across a range of banks and mezzanine lenders – was repaid. Pfeifer operates through subsidiaries in 15 countries, including the USA, UK, Singapore, and China. With around 1,500 employees globally, the company generates annual revenues exceeding EUR 300 million.
As a new shareholder, FLOWFRAME will continue the transformation process of Pfeifer group that has already begun and further strengthen Pfeifer’s functioning and sustainable business model. FLOWFRAME SE is an investment firm specializing in special situations and restructuring transactions, backed by the founders of PRIMEPULSE SE, a company with a strong focus on IT and technology investments. As the new shareholder, FLOWFRAME will continue driving the ongoing transformation of Pfeifer group, further reinforcing its operational efficiency and strengthening its sustainable business model.
