Carey recognized with the M&A Deal of the Year Award

We are pleased to announce that we have been recognized by Latin Lawyer with the M&A Deal of the Year Award, for our legal work related to the acquisition of Banmédica, a Chilean healthcare company, by UnitedHealth Group for USD2.8 billion.
The transaction was the largest M&A in Chile of 2017 and the largest ever Health M&A in Chile, involving four jurisdictions (Chile, US, Colombia and Peru), and eight Law firms.
Banmédica is leader in the private health insurance market (through Chilean affiliates Isapre Banmédica and Isapre Vida Tres, as well as its participation in Peruvian firm Pacífico Entidad Prestadora and Colombian company Colmedica Medicina Prepagada), and in the private healthcare provider industry (including emblematic hospitals Clínica Santa María and Clínica Dávila), has yearly revenues over USD2.2 billion, and more than 20,000 employees. On the other hand, our client UnitedHealth Group, the American largest health insurer and number thirteen of the Global 500 list and six of the US Fortune 500 list, is based in Minnesota, US, and has more than 130 million global customers and more than 230,000 employees.
The transaction involved a tender offer by UnitedHealth Group of up to 100% of the stock shares of Banmédica, a Chilean publicly traded holding company, and the structuring of the financing for the operation. The tender offer was a great success, as 96.04% of the shares of the company were tendered, a sale that amounted to an aggregate of USD2.8 billion paid by UnitedHealth Group to the selling shareholders.
