Prepaid Alliance in Merzig and Trier – M&M-Werbeagentur GmbH and ICP Transaction Solutions GmbH are Merging in a Holding Company

With a Frankfurt-based team led by partner Thomas K. Schrell, business law firm Heuking Kühn Lüer Wojtek advised HF Private Debt on financing the acquisition of all shares in M&M Werbeagentur GmbH – phone card marketing. The financing volume was not disclosed.
M&M Werbeagentur was acquired via a member of ICP Group. Both companies, which operate under a joint holding company, are among Europe’s market leaders for innovative electronic transaction and sales systems. In addition to classic prepaid recharging for cell phones, the group offers a range of transaction solutions, gift and debit cards, and customer loyalty programs. Together, the two companies have almost 200 employees at five sites throughout Europe.
HF Debt GmbH acts as the exclusive advisor to Luxemburg-based HF Private Debt Fund, SCSp. The fund specializes in providing private debt financing for SMEs (EBITDA between EUR 2-10 million) and supports growth financing, succession solutions and buy-outs by private equity investors. It focuses on companies in the Germany-Austria-Switzerland region with a longstanding history.
