Significant Accomplishments
First acquisition of Jefferson Capital to enter the Central American territory and expand its presence in Latin American. BLP advised Jefferson in Central America, including due diligence, antitrust analysis, and negotiation of contractual agreements. Our office in Costa Rica coordinated the transaction for the region, including due diligence and legal advice from Panama and Dominican Republic.
Grupo Unicomer on a syndicated loan for $350 million. BLP advised on a $350 million loan granted to Grupo Unicomer by a pool of syndicated banks, where several Unicomer subsidiaries in LATAM and the Caribbean have acted as guarantors. Our legal guidance spanned the entire process, from negotiations to signing the credit agreement, and included the preparation and execution of creative local documentation, such as local acknowledgments, security trusts, and promissory notes.
Acquisition of SCRiesgo by Moody’s. BLP advised Moody’s in Costa Rica, Nicaragua, El Salvador, Honduras, and Guatemala on the acquisition. The advice included due diligence, regulatory and antitrust analysis, and negotiation of transaction agreements.
AkzoNobel Completes Grupo Orbis Acquisition. BLP advised the seller, Grupo Orbis (Pintuco), on this regionally impactful transaction utilizing attorneys from our offices in Costa Rica, Nicaragua, Honduras, El Salvador, and Guatemala, as well as coordinating with lawyers in Panama, and conducting due diligence in all Central American jurisdictions.
