Profile
Ms. Joson specializes in acquisitions, foreign investments, corporate reorganization and restructuring, insurance, labor and taxation. She also handles general corporate services, legal due diligence, and general contract drafting and review.
She has assisted in rendering regulatory advice on life and non-life insurance and reinsurance matters to a foreign insurance company. She also renders tax advice in connection with deals involving acquisitions, investments and divestments, and corporate reorganizations in, among others, the real estate, mining, food and aviation industries, as well as transactions in connection with securities issuances. She has been involved in the conduct of legal due diligence for special projects such as the acquisition of shares in corporations in the power, mining, food, advertising, pharmaceutical and animal health industries.
She was also involved in the following projects:
Bidding for the Outsourcing of the Interim Operations & Maintenance for Light Rail Transit System Line 1 by the Philippine Department of Transportation and Communications;
Bidding for the Bulacan Bulk Water Supply Project by the Metropolitan Waterworks and Sewerage System;
and the Issuance by Petron Corporation of US$750 million undated Subordinated Capital Securities.
She has worked in several labor-litigation cases for business process outsourcing, maritime and manufacturing companies involving illegal dismissal, certification election, and money claims. She has also rendered advice on employment issues in corporate reorganizations.
